We are looking for a detail-oriented and proactive Company Secretary to manage corporate governance, regulatory filings, and secretarial compliance functions. The role demands a strong understanding of the Companies Act, RBI regulations, Secretarial Standards, and allied laws, with hands-on experience in an Non-Banking Financial Company/FinTech environment.
Key job responsibilities
1. Manage Board, Committee, and Shareholders meeting processes including agenda, minutes, and action tracker preparation.
2. Ensure compliance with Companies Act, RBI regulations, Secretarial Standards, and internal governance frameworks.
3. Handle ROC filings, RBI filings, and other statutory/regulatory submissions within prescribed timelines.
4. Maintain statutory registers, records and governance documentation.
5. Coordinate with regulators, auditors, legal, finance, and business teams on regulatory related matters.
6. Track regulatory updates and support implementation of applicable changes.
7. Support audits, inspections, and regulatory reviews by maintaining accurate documentation and data.
8. Ensure proper maintenance and archival of physical and digital secretarial records.
9. Assist in monitoring compliance calendars and governance action items.
10. Support process improvement and automation initiatives within the Secretarial function.
About the team
The Secretarial team is a two-member team responsible for managing the Company's corporate governance and regulatory compliance framework. The team handles Board and Committee management, ROC and RBI filings, compliance tracking, maintenance of statutory records, and governance documentation.
Working closely with senior management, auditors, regulators, and cross-functional teams, we ensure timely compliance and smooth governance processes in line with the Companies Act, RBI regulations, Secretarial Standards, and other applicable laws.
- Bachelor's degree
- Speak, write, and read fluently in English
- Qualified Company Secretary
- 1-3 years of relevant experience in Secretarial functions.
- Prior experience in NBFCs, fintech companies, financial institutions, or regulated entities preferred.
- Ability to interpret legal and governance requirements and convert them into actionable processes.
