Job Overview:

We are looking for a qualified and experienced Company Secretary who can join within / in a Month's time. The ideal candidate should have 2 - 8 years of post-membership experience in handling corporate secretarial compliance, regulatory advisory, and governance matters for a diverse clientele, including listed and unlisted companies.

Key Responsibilities:

  • Corporate Compliance & Secretarial Work:
  • Manage and ensure compliance with the Companies Act, 2013, SEBI regulations, FEMA, and other corporate laws.
  • Conduct board meetings, committee meetings, and general meetings, including drafting notices, agendas, minutes, and resolutions.
  • Maintain and update statutory registers and records.
  • Regulatory Filings & LODR Compliance:
  • Handle filings with ROC, SEBI, RBI, Stock Exchanges, and MCA.
  • Ensure compliance with SEBI (LODR) Regulations, Insider Trading Regulations, and Takeover Code.
  • Draft and review corporate governance reports, annual reports, and directors reports.
  • Secretarial Audit & Due Diligence:
  • Conduct Secretarial Audits (as per SEBI and Companies Act requirements) for listed and large private/public companies.
  • Perform due diligence for mergers, acquisitions, and corporate restructuring transactions.
  • Prepare compliance checklists and audit reports.
  • Advisory & Client Management:
  • Provide expert advisory on corporate laws, governance, and compliance frameworks to clients.
  • Liaise with regulatory authorities, auditors, and legal teams.
  • Assist clients in handling queries and compliance issues raised by regulators.
  • XBRL & FEMA Compliances:
  • XBRL filings for financial statements of clients.
  • Manage FEMA compliance, FDI reporting, and ECB filings.

Requirements:

  • Qualified Company Secretary (ACS/FCS) with 2 - 8 years of post-membership experience.
  • Strong knowledge of Companies Act, SEBI regulations and corporate governance norms.
  • Hands-on experience in handling listed company compliance, LODR
  • Excellent drafting, communication, and client-handling skills.
  • Ability to manage multiple clients, meet deadlines, and work independently.
  • Proficiency in MS Office, MCA21, XBRL, and other compliance software.

Preferred Qualifications:

  • Experience in handling compliance for listed companies.
