Job Overview:
We are looking for a qualified and experienced Company Secretary who can join within / in a Month's time. The ideal candidate should have 2 - 8 years of post-membership experience in handling corporate secretarial compliance, regulatory advisory, and governance matters for a diverse clientele, including listed and unlisted companies.
Key Responsibilities:
- Corporate Compliance & Secretarial Work:
- Manage and ensure compliance with the Companies Act, 2013, SEBI regulations, FEMA, and other corporate laws.
- Conduct board meetings, committee meetings, and general meetings, including drafting notices, agendas, minutes, and resolutions.
- Maintain and update statutory registers and records.
- Regulatory Filings & LODR Compliance:
- Handle filings with ROC, SEBI, RBI, Stock Exchanges, and MCA.
- Ensure compliance with SEBI (LODR) Regulations, Insider Trading Regulations, and Takeover Code.
- Draft and review corporate governance reports, annual reports, and directors reports.
- Secretarial Audit & Due Diligence:
- Conduct Secretarial Audits (as per SEBI and Companies Act requirements) for listed and large private/public companies.
- Perform due diligence for mergers, acquisitions, and corporate restructuring transactions.
- Prepare compliance checklists and audit reports.
- Advisory & Client Management:
- Provide expert advisory on corporate laws, governance, and compliance frameworks to clients.
- Liaise with regulatory authorities, auditors, and legal teams.
- Assist clients in handling queries and compliance issues raised by regulators.
- XBRL & FEMA Compliances:
- XBRL filings for financial statements of clients.
- Manage FEMA compliance, FDI reporting, and ECB filings.
Requirements:
- Qualified Company Secretary (ACS/FCS) with 2 - 8 years of post-membership experience.
- Strong knowledge of Companies Act, SEBI regulations and corporate governance norms.
- Hands-on experience in handling listed company compliance, LODR
- Excellent drafting, communication, and client-handling skills.
- Ability to manage multiple clients, meet deadlines, and work independently.
- Proficiency in MS Office, MCA21, XBRL, and other compliance software.
Preferred Qualifications:
- Experience in handling compliance for listed companies.
