Job Description

Role Overview:

The Associate Company Secretary will play a key role in ensuring the compliance with corporate laws and regulatory requirements of various clients of the Firm. This position involves supporting governance frameworks, managing statutory records, and advising on regulatory matters under various applicable laws.

Key Responsibilities:

Secretarial Audits: Conduct regular secretarial audits to assess and ensure compliance with statutory requirements.

Corporate Governance Advisory: Provide strategic advice on corporate governance practices, board procedures, and regulatory frameworks.

Transaction Advisory Support: Assist in secretarial aspects of mergers, acquisitions, and other corporate transactions.

Secretarial Record Management: Maintain and update statutory registers, records, and documentation in accordance with the Companies Act and other applicable laws.

ROC Compliance: Ensure timely and accurate filings with the Registrar of Companies (ROC), including annual returns, resolutions, and other statutory forms.

Regulatory Compliance (SEBI & RBI): Monitor and manage compliance under SEBI and RBI regulations, including disclosures, filings, and reporting obligations.

SEBI Listing Regulations: Ensure adherence to SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 for listed entities.

Companies Act Compliance: Oversee compliance with the Companies Act, 2013 and associated rules, including board and shareholder meetings, resolutions, and filings.

Qualifications & Skills:

Qualified Company Secretary

3-4 years of relevant experience in corporate secretarial functions

Strong understanding of corporate laws, SEBI regulations, and RBI guidelines

Excellent communication and drafting skills Proficiency in MS Office and secretarial software tools
