Key Responsibilities:
Client & Stakeholder Interaction
- Interact with clients to understand requirements and provide guidance.
- Liaise with regulatory authorities such as MCA, SEBI, RBI, and Stock Exchanges.
Corporate Secretarial Compliance
- Handle secretarial matters like issue of shares, increase in authorized capital, share transfers, charge creation/modification/satisfaction.
- Ensure compliance with issuance of securities, including rights and private placements, obtaining ISIN, and corporate actions.
- Assist in filing forms and returns including AOC 4, MGT 7, DIR 12, PAS 3, MGT 14, MGT 6, BEN 2, etc.
- Prepare notices, agendas, and minutes for AGM, EGM, Board, and shareholder meetings.
- Maintain statutory registers and records as per Companies Act 2013.
Regulatory & Legal Advisory
- Knowledge and compliance under Companies Act, SEBI Regulations, FEMA, IBC, Stamp Act, and other relevant laws.
- Draft agreements related to takeover, franchisee, and business restructuring.
- Draft NCLT petitions for corporate disputes.
- Support basic DGFT, Taxation, GST related work.
Corporate Governance & Administration
- Ensure client companies comply with standard legal practices and corporate governance standards.
- Assist in implementing corporate actions and legal requirements efficiently.
