Job Description

Key Responsibilities:

  • Interact with clients and understand their corporate and legal needs.
  • Manage FEMA capital account transactions and filings (FC-GPR, FC-TRS, DI, FLA, APR).
  • Handle secretarial work for companies including:
  • Issue and transfer of shares, increase in authorised capital.
  • Charge creation, modification, and satisfaction.
  • Compliance for issuance of securities (rights/private placements), including obtaining ISIN and corporate actions.
  • Ensure adherence to Companies Act 2013, SEBI regulations, FEMA, Stamp Act, Stock Exchanges, IBC, and related secretarial work.
  • File statutory forms such as AOC 4, MGT 7, DIR 12, PAS 3, MGT 14, MGT 6, BEN 2, etc.
  • Assist in legal corporate actions, drafting agreements for takeover, franchisee, business restructuring.
  • Draft NCLT petitions for disputes under the Companies Act.
  • Conduct statutory meetings and prepare notices, minutes of AGMs, EGMs, board meetings, and shareholder meetings.
  • Maintain statutory registers and records as per legal requirements.
  • Support other compliance and regulatory filings (DGFT, GST, taxation).
