Role Summary Support the Head of Legal in managing the company's contracts, retail leases, franchise agreements, vendor agreements, consumer complaints, IPR, litigation, and enforcement matters across TSS and group brands. The role is hands-on drafting, review, research, and coordination, working closely with internal stakeholders to move agreements from draft to execution.
Key Responsibilities
- Draft, review, and redline commercial contracts: vendor agreements, NDAs, MoUs, service agreements, and franchise documents.
- Draft and negotiate franchisee agreements (FOFO/FOCO) and handle franchise-related disputes, terminations, and notices.
- Manage retail lease and Leave & License agreements — review, summarise risks, and track to registration and execution.
- Handled SD recovery on store exits and lease terminations, including coordination with landlords, BD, and Finance.
- Conduct litigation research — case law, precedents, and statutory analysis to support notices, replies, and ongoing matters.
- Handle consumer complaints and queries, including consumer forum notices and responses, in line with applicable consumer protection law.
- Manage IPR matters — trademark filings, renewals, infringement notices, and brand enforcement, including online takedowns.
- Ensure Legal Metrology compliance for product packaging, labelling, and declarations across retail and e-commerce channels.
- Manage the CLM tool — contract lifecycle tracking, repository upkeep, renewal alerts, and reporting.
- Coordinate with internal stakeholders across BD, Finance, Retail Operations, and the founder's office to close pending agreement items.
- Maintain trackers for active contracts, renewals, and pending action items.
Requirements
- LLB; 3–6 + years experience, preferably in-house at an e-commerce, retail, FMCG, or consumer brand.
- Prior exposure to the e-commerce and retail industry — lease, franchise, and vendor contracting in a multi-store/online environment.
- Experience in drafting franchisee agreements and managing franchise disputes.
- Experience in SD recovery and litigation research.
- Experience in resolving consumer complaints and queries, including familiarity with the Consumer Protection Act 2019.
- Hands-on experience in IPR (trademark prosecution and enforcement) and Legal Metrology compliance.
- Experience managing a CLM tool (e.g. Legistify, Spotdraft, Volody) for contract tracking and repository management.
- Strong drafting in plain, commercial English; comfortable with single-round negotiation.
- Working knowledge of the Indian Contract Act, Transfer of Property Act, Trade Marks Act 1999, Legal Metrology Act 2009, and DPDP Act 2023.
- Detail-oriented, organised, and able to manage high contract volume and multiple internal stakeholders independently.
