Job Description

Job Title: Legal (Renewable Energy)

Position: Assistant Manager – Legal

Location: Gurugram, Haryana

Reporting to: General Counsel

Overview:

The Assistant Manager – Legal will provide critical legal support to COMPANY Renewables, working closely with the General Counsel and cross-functional teams. The role involves drafting and negotiating commercial contracts, assisting in land due diligence, supporting M&A transactions, conducting regulatory research, and coordinating with global stakeholders in the renewable energy sector.

Key Responsibilities:

Contract Drafting & Review:

• Draft, review, and negotiate a variety of commercial agreements, including:

• Non-Disclosure Agreements (NDAs), Purchase Orders, Work Orders, Service Orders

• Engineering, Procurement & Construction (EPC) Contracts

• Operations & Maintenance (O&M) Agreements

• Lease Deeds, Sale Deeds, Easement Agreements

• Procurement Contracts and other project-related agreements

Land Due Diligence & Documentation:

• Assist in land acquisition due diligence, title verification, and legal clearance.

• Prepare and finalize land-related documents (lease deeds, sale deeds, conveyance deeds, etc.).

• Coordinate with the land team and external legal counsels to ensure compliance with

statutory requirements.

Mergers & Acquisitions (M&A) Support:

• Assist in due diligence, transaction structuring, and documentation for M&A activities.

• Review and analyze deal agreements, including Share Purchase Agreements (SPAs),

Shareholder Agreements (SHAs), and Joint Venture (JV) agreements.

Regulatory Research & Compliance:

• Conduct legal research on regulatory frameworks impacting renewable energy projects (electricity laws, land laws, environmental clearances, etc.).

• Monitor updates in renewable energy policies and advise on compliance requirements.

Stakeholder Coordination:

• Collaborate with internal teams (Projects, Finance, Procurement) and external

stakeholders (law firms, government authorities, counterparties).

• Liaise with global legal teams to ensure alignment on cross-border transactions and

compliance matters.

Qualifications & Skills:

• Education: LL.B. / BA LL.B. or equivalent from a reputed institution.

• Bar Enrolment: Enrolled with the Bar Council.

• Experience: 3-5 years of experience in contract drafting, renewable energy/infrastructure laws, or corporate transactions (in-house or law firm).

• Key Competencies: Strong understanding of contract law, electricity regulations, and land laws.

• Excellent drafting, negotiation, and analytical skills.

• Ability to work independently and manage multiple stakeholders.

• Prior experience in the renewable energy industry is preferred.
