Purpose: She/he would assist in Secretarial compliance and processes.
Job Responsibilities:
- Drafting of Notice, Agenda and Minutes for Board Meetings, various Committee meetings and General Meetings.
- Assisting in convening of the Board, Committee and General Meetings.
- Maintaining Statutory Registers and records
- Liaising with various government departments, consultants, auditors, shareholders
- Preparation of documents and director's disclosure under Companies Act, 2013 and Rules made thereunder and SEBI regulations
- Responsible for secretarial part of Statutory and Internal Audit of the Companies.
- Preparation & ensuring timely filing of forms/returns etc. with Registrar of Companies, RBI, SEBI and other Regulators
- Drafting of Directors Report, Annual Return, Notices etc.
- Assist in drafting of petitions/applications for NCLT/High Courts/Regulator/Govt. Agencies etc. and assist in Mergers and Acquisition activities
- Payment of Stamp Duty on share certificate/allotment/merger orders etc.
- Corporate action for allotment of shares/dematerialization of shares
- Ensuring all compliances under the Companies Act, 2013, Secretarial Standard, SEBI Regulations and Rules made thereunder and other corporate laws
- Filing of APR and other compliance under FEMA in relation to ODI/FDI and timely filing of various forms and documents
- Experience in incorporation and registration of companies, subsidiaries, and branch offices in foreign jurisdictions, including USA, Singapore, UK, EU etc.
- Managing/co-ordinating ongoing corporate secretarial compliance and filings for overseas entities in accordance with local laws and regulations.
- Coordinating with international legal, tax, and corporate service providers for entity formation, governance, and compliance matters.
- Experience in incorporation and registration of companies, subsidiaries, and branch offices in foreign jurisdictions, including USA, Singapore, UK, EU etc.
- Managing/co-ordinating ongoing corporate secretarial compliance and filings for overseas entities in accordance with local laws and regulations.
- Coordinating with international legal, tax, and corporate service providers for entity formation, governance, and compliance matters.
- Overseeing maintenance of statutory registers, minutes, and records for international group companies.
Educational Qualifications:
- Qualification required: Membership of ICSI and a degree in law is desirable (not mandatory)
Competencies & Soft Skills:
- Excellent knowledge and practical experience in the area of Corporate Laws and Rules made thereunder, SEBI regulation, Secretarial Standards/Practices and related legislation and Regulations.
- High level of target orientation with good quality written and spoken communication skills
- Good interpersonal skills and a team player
- Computer proficiency
Eligibility:
- Years of experience: Overall 6 to 8 years of post-qualification experience and consistent track record
