Position: Assistant Company Secretary

Economy & Recycling Initiatives

About MRAI:

The Material Recycling Association of India (MRAI) is India's apex organization representing the recycling and secondary raw material industry. With a membership base spanning across metals, paper, plastics, e-waste, and other circular economy sectors, MRAI works closely with various Ministries of the Government of India, NITI Aayog, and global trade bodies to promote sustainable recycling practices, policy reforms, and circular economy initiatives

 

About the Role:

MRAI is seeking a qualified Company Secretary (Fresher/experienced 1-2 years) who is eager to build a career in corporate laws, regulatory requirements, and governance standards applicable to the organization. The candidate will be responsible for managing secretarial functions, statutory compliances, board processes, legal documentation, and coordination with regulatory authorities.

 

Key Responsibilities

=> Ensure compliance with provisions of the Companies Act, Income tax Act, and other applicable corporate laws and regulations.

=> Support in organize and manage Board Meetings, Committee Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs).

=> Prepare agendas, notices, minutes, resolutions, and maintain statutory registers and records.

=> Handle ROC filings, annual filings, event-based compliances, and other statutory submissions.

=> Draft, review, and maintain legal and corporate documentation including agreements, policies, resolutions, and compliance records.

=> Support compliance with MRAI's Articles of Association, Code of Conduct, and Governance framework.

=> Liaise with regulatory authorities, auditors, consultants, legal advisors and others.

=> Monitor changes in corporate laws and update the team on regulatory implications.

=> Assist in corporate governance practices and policy implementation.

=> Maintain records related to licenses, registrations, and approvals.

=> Support due diligence, audits, restructuring, and other corporate transactions as and when required.

=> Coordinate with internal departments for compliance-related matters.

=> Any other work allotted.

 

Required Skills & Qualifications:

> Qualified Company Secretary

> LLB/LLM will be an added advantage

> 1–2 years of work post qualification experience and proper knowledge of maintenance of register, MCA filings, Minutes drafting, etc.

> Excellent written and verbal communication skills.

> Self-motivated with an ability to work across diverse sectors and teams.
