Role Overview
We are seeking a proactive and detail-oriented Assistant Manager – Legal and Compliance to primarily oversee the organization's legal, regulatory, and statutory compliance functions, while also supporting key financial and commercial operations across India and Dubai. The role requires strong expertise in legal documentation, compliance management, regulatory coordination, and contract governance, along with working knowledge of financial reporting and accounting systems. The ideal candidate should be capable of independently managing legal and compliance matters, coordinating with external consultants and authorities, and ensuring adherence to regulatory requirements across jurisdictions.
Key Responsibilities Legal & Statutory Compliance
- Ensure statutory compliance across applicable laws including GST, FEMA, Shops & Establishments Act, Professional Tax, and Labour laws.
- Monitor compliance calendars and ensure timely adherence to all applicable regulatory deadlines.
- Manage trademark and copyright filings, renewals, and coordination with IP attorneys.
- Liaise with legal advisors, consultants, and government authorities on ongoing and new compliance matters.
- Track regulatory updates and changes in law, and assess their impact on business operations.
- Agreement Drafting & Vetting
• Draft, review, and vet commercial agreements including vendor contracts, client agreements, NDAs, MoUs, service agreements, and partnership deeds.
- Ensure all contracts comply with applicable laws and adequately protect the company's interests.
- Maintain a repository of all executed agreements and track renewal/expiry timelines.
- Coordinate with business teams to advise on contract-related risks and legal implications.
- Vendor & Partner Management
- Onboard and manage vendor documentation, KYC verification, and legal due diligence.
- Coordinate with vendors and clients on compliance-related documentation and representations.
- Manage partnership firm compliances including maintenance of accounts, partnership deed amendments, and related filings.
- Litigation & Dispute Management
- Assist in managing legal disputes, client recovery matters, and represent or coordinate for court appearances as required.
- Liaise with external legal counsel on litigation strategy, documentation, and follow- ups.
- Prepare legal notices, responses, and correspondence as needed.
- ROC Compliance
- Manage all ROC filings, annual returns, and event-based compliances for private limited companies under the Companies Act, 2013.
- Maintain statutory registers, minutes books, and other secretarial records as required by law.
- Handle incorporation, restructuring, and winding-up procedures for group companies and partnership firms.
- General Legal Advisory
- Provide internal legal guidance to management on day-to-day business matters.
- Identify legal and compliance risks proactively and recommend mitigation strategies.
- Support due diligence processes for new business ventures, tie-ups, or investments.
Requirements & Qualifications
- Qualified Company Secretary (ACS/FCS) from the Institute of Company Secretaries of India (ICSI); an LLB degree will be a significant advantage.
- 3–6 years of post-qualification experience in corporate compliance, secretarial practice, or a corporate legal role.
- Strong working knowledge of the Companies Act, 2013, MCA/ROC procedures, and secretarial standards.
- Hands-on experience with agreement drafting, vetting, and managing commercial contracts.
- Familiarity with partnership firm compliance, firm registration, and deed management.
- Understanding of GST, FEMA, labour laws, and other applicable statutory regulations.
- Experience with trademark/IP filings and coordination with IP consultants.
- Excellent drafting skills in English — both legal documents and business correspondence.
- Ability to work independently, manage timelines, and handle multiple compliance matters simultaneously.
- Proficient in MCA21 portal, ROC filing tools, and general MS Office applications.
- Well-organized, detail-oriented, and professional in demeanour with readiness for outdoor visits to government offices, courts, or banks as required.
