We are seeking a highly organised and detail-oriented Assistant Company Secretary to join our team in Gurgaon, India to support the Deputy General Counsel & Company Secretary (EMEA & APAC) in managing the global corporate governance framework. The ideal candidate will be responsible for ensuring that our group complies with statutory and regulatory requirements and for facilitating effective corporate governance. As Assistant Company Secretary, you will serve as a key advisor to its boards, committees and senior management, providing guidance on corporate governance practices and legal matters globally.

Key Responsibilities

Board & Committee Support

  • Assist in planning, organizing, and coordinating board meetings across global entities.
  • Prepare and review board packs, agendas, resolutions, and meeting minutes.
  • Maintain annual calendars, track action items, and ensure timely follow-ups.

Corporate Governance & Compliance

  • Fulfil the role of Company Secretary for Ankura's India subsidiary.
  • Support the maintenance of corporate records, statutory registers, and entity management databases for group companies.
  • Assist in ensuring compliance with relevant local and international governance requirements and laws.
  • Coordinate statutory filings with regulatory bodies.
  • Support the development and rollout of governance policies, corporate standards, and best practices across the organization.

Entity Management

  • Assist in the incorporation, restructuring, and dissolution of entities as required.
  • Prepare documentation related to share issuances, transfers, director appointments and resignations, and capital changes.
  • Liaise with external advisors, local counsel, and regulatory authorities in India and international jurisdictions.

Risk Management & Compliance Monitoring

  • Support internal compliance audits and risk reviews related to corporate secretarial functions.
  • Help implement compliance tracking systems and prepare reports.

Stakeholder Coordination

  • Work closely with cross-functional teams (Finance, Legal, HR, Tax) to support corporate governance initiatives.
  • Coordinate with global offices and entity directors to ensure consistent governance standards.
  • Advise the board of directors and other stakeholders on legal and governance issues, including changes to legislation and regulations.

Legal & Conflict Team Support

  • Responding to RFP requests for entity constitutional documentation and questionnaires, including provision of information on ultimate beneficial ownership.
  • Supporting Ankura's Conflicts Team with conflict searches and escalations.

Requirements

  • Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI) (essential requirement).
  • Bachelor's degree in Law, Business Administration, or a related field.
  • A minimum of 5 years experience in corporate secretarial roles, preferably within multinational companies or large professional services firm.
  • Experience with board processes, corporate filings and entity management platforms is preferred.
  • Comfortable operating in a standalone role reporting into an off-shore team.
  • In-depth knowledge of corporate governance practices and the Companies Act, 2013.
  • Strong understanding of legal, regulatory, and compliance issues.
  • Excellent organizational and communication skills.
  • Ability to work independently and manage multiple tasks simultaneously.
  • High level of integrity and professionalism.
  • Experience working in the legal department of a corporate firm or in a legal advisory role.
  • Strong analytical and problem-solving skills.
