JD:
Regulatory Filings & Compliance
Ensure timely submission of statutory filings with regulatory bodies.
Maintain and update statutory records, including registers of members, directors, and charges.
Monitor changes in corporate laws and ensure compliance with the Companies Act, SEBI regulations and other applicable laws.
Coordinate with regulators, auditors, and legal advisors on compliance matters.
Prepare and file annual returns, financial statements, and other mandatory disclosures.
Corporate Governance & Board Support
Organize and document board meetings, committee meetings etc.
Draft minutes, resolutions, and reports for board and shareholder meetings.
Contract Vetting & Legal Advisory
Review, draft, and vet contracts, agreements, and legal documents (e.g., MoUs, NDAs, vendor agreements, Distributor contracts).
Ensure contracts comply with legal and regulatory requirements.
Liaise with external legal counsel on complex agreements and disputes.
Maintain a repository of executed contracts and monitor renewal deadlines.
