Team Member - Legal

Job Purpose :

To ensure legal compliance and mitigate risks by providing advice on regulations, drafting and reviewing contracts, managing litigation, protecting intellectual property rights, and overseeing corporate governance. Providing support in business decisions, employment law issues and managing interactions with regulatory bodies. Helps to safeguard the company's interests and avoid legal disputes.

Legal Proficiency

Interpreting local, state, national, and international laws, regulations, directives, decrees, etc., across markets where company operates or has its representatives. Proficient with Indian judicial system, procedures of courts/regulatory bodies, provision of constitutional law and applicable laws both substantive and procedural laws including contract, civil, criminal, labour, employment, environment, corporate, competition, intellectual property, information technology, data protection and general operational understanding of tax laws.

Risk Mitigation

Spotting legal risk and conducting legal risk analysis by involving cross functions like finance, operations, manufacturing, product development, sourcing, sales & marketing, compliance, HR, taxation; assessing risks associated with manufacturing activities, product development, supply chain operations, Sales and Marketing from holistic perspective and giving practical and solution oriented advice to the Management to achieve business aspirations.

Legal Advise

Providing strategic legal advice on corporate, governance, finance, and commercial legal matters, and advise senior leadership on litigation-related risk. Providing strategic advisory to all functions and verticals within Company in terms of legal/compliance/Regulation. Rendering legal opinion by referring various laws and rulings of Supreme Court of India on all type of risk related labour, civil, criminal, corruption, contractual, property tax, and property commercial, consumer matters.

Contract Life Cycle Management

Leading the contract management process; standardising and updating contracts; bringing in efficiencies and implementation of automation opportunities in the contract life cycle management by establishing key trends and risk involved to the General Counsel; be part of high value contract negotiations and guide the legal team and cross functional team on sensitivities and risk involved.

Manufacturing Contracts

Drafting/reviewing critical, high value, contracts for manufacturing entities EPCM, Procurement of Raw Materials and Non-Production Materials, Off Take, Bailment of Equipment's, Consultancy, Transport, (Inbound/outbound) Multi-Modal Transport, Custom Clearance (Import/Export), Manpower Supply, Service Supply, Work Assignments, Projects, NDAs etc.

Marketing Contracts

Drafting/reviewing critical, high value, Contracts such as Dealership Agreement, Distributor Agreement, Consigning & Forwarding Agent Agreement, Master Sale-Purchase Agreements, Development Agreement, Event Management Service Agreement, Brand Promotion Agreement, Public Relations Agency Services Agreement, RHR Service Agreement, State Undertaking Agreements.

Project

Providing value added legal support in managing and driving projects related to acquisition of shares, projects related to setting up of manufacturing units starting from acquisition of land, construction, consent to operate, statutory approvals, registration, licenses, starting of production, marketing and sale of products and resolving issues to make the projects finally successful.
