Responsible for handling legal matters of Company and secretarial work
KEY FUNCTIONS / RESPONSIBILITIES
Legal
- Accurate assessment of any legal risks across all processes in Sentiss
- On time reporting of non-compliance to legal or statutory requirement to the Management
- Empanelment and Liaison with other legal advisors on various issues
- To review all contracts for business alliance and administrative purposes on behalf of the organization to ensure that all contracts are in applicable legal framework
- To prepare any legal document on behalf of the organization either directly or with help of other legal advisors.
- To ensure all legal documents are prepared, printed and signed by required authorities in the Company.
- Drafting of the required POA for the business operations of the Company
- To ensure proper documentation of all legal requirements
- To ensure all trademarks of Company in India are registered with the Registry authority by the Trademark Attorney.
- To prosecute violations of the trademark with the help of legal advisors.
- To represent the Company in the court of law as and when required.
- On time preparation of documents and filing for any litigation
Secretarial Work
- Advising the Company and its board of directors on good corporate governance practice and secretarial compliance prescribed under applicable laws and rules
- Organise the board meetings, prepare the meeting agendas and minutes of meeting of board of Directors and shareholder
- Drafting of Board resolutions and shareholder resolution
- Responsible for maintaining statutory registers including register of members, directors, charges etc
- Liaising with relevant regulator and external advisor
- Handle the procedural compliance of Dividend, Buy back, share issues and ESOP
- Preparation and filing of returns and various forms prescribed under the Companies act 2013 and rules thereunder (AOC 4, MGT 7, CSR, MGT 14, SH series forms, etc)
- Finalisation of Directors report in coordination with Finance and other relevant departments
- Working closely with finance and other relevant departments

LL.B & CS qualified with 12+ years of exp.
