Job Summary:
The role requires a strong understanding of the Companies Act, 2013, the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, SEBI PIT Regulations, other applicable SEBI Regulations and corporate laws, coupled with the ability to collaborate effectively while upholding the highest standards of corporate governance.
This role is ideal for a young Company Secretary looking to build a strong foundation in listed company compliances, Board processes, corporate governance and regulatory matters while working closely with senior management and leadership teams.
Key Responsibilities:
1) Board & Corporate Governance
- Assist in the end-to-end management of Board Meetings, Committee Meetings and Shareholder Meetings, including AGMs and EGMs.
- Draft and review notices, agendas, minutes, resolutions and other governance-related documentation.
- Support in implementation of governance frameworks and best practices.
- Assist in maintaining statutory registers, secretarial records and corporate documentation for listed and unlisted entities / LLPs
- Drafting of resolutions including circular resolutions of companies, LLPs and other entities
2) Regulatory Compliance
- Assist in ensuring timely filings and disclosures with MCA, ROC, Stock Exchanges, SEBI and other regulatory authorities.
- Preparation of Roc E-forms
- Support compliance with the Companies Act, 2013, SEBI Listing Regulations and other applicable laws.
- Track regulatory developments
3) Secretarial Operations
- Assist in managing Secretarial Compliances of listed entity, subsidiaries and promoter entities and all related activities thereto
- Support annual report preparation from a secretarial and governance perspective.
- Coordinate with Registrars & Transfer Agents, Depositories, Stock Exchanges, consultants and regulatory authorities.
- Assist in handling shareholder and investor-related matters, including investor grievances and regulatory queries.
- Assisting in Dividend payment and IEPF process and e-vertification;
- Handling invoices and payment activities for secretarial function
- Assisting in compliances relating to issue of Commercial Papers and Non-Convertible Debentures (listed securities);
- Updating Policies / Terms of the Reference of Committees as may be required from time to time;
- Knowledge and understanding of Insider Trading Compliances;
- Prepare internal updates on changes in applicable laws for secretarial section
- Annual filing of companies and LLPs;
4) Strategic & Transaction Support
- Assist and support in debt issuances, fund-raising transactions and related regulatory compliances.
- Statutory compliances in connection with debt securities and assisting with listing of commercial papers, debentures, ESOPs, Corporate Actions;
- Support incorporation, restructuring and other corporate actions, as applicable.
- Assist in Secretarial Audits, Statutory Audits and governance reviews.
5) Stakeholder Management
- Collaborate with cross-functional teams to facilitate timely completion of assignments.
- Maintain high standards of professionalism, confidentiality and attention to detail.
- To assist the Secretarial Team in various Secretarial matters, activities & compliances as and when required and necessary
What We Are Looking For
Education:
- Qualified Company Secretary (Associate Member of ICSI).
- LLB qualification would be an added advantage.
Experience:
- Minimum 2 years of post-qualification experience (excluding internship/training period).
- Experience in the secretarial function of a listed company is a must.
- Good understanding of the Companies Act, 2013, SEBI Regulations and SEBI PIT Regulations.
- Strong academic credentials.
- Sound knowledge of the Companies Act, 2013, SEBI Listing Regulations and corporate governance requirements.
- Strong drafting and communication skills.
- Good analytical and problem-solving abilities.
- High attention to detail and accuracy.
- Ability to manage multiple priorities and work in a fast-paced environment.
- Strong ownership, accountability and stakeholder management skills.
- Proficiency in MS Office applications, particularly Word, Excel and PowerPoint.
