About The Role
A Company Secretary with a minimum Post Qualification experience of 2 years. Need a Qualified Company Secretary with Membership Number with Good Academic Scores should be well versed with the provisions of the Companies Act, 2013 and SEBI Listing Regulations and also possess sound knowledge of Secretarial functions.
LLB would be an added advantage. The role requires the candidate to be well versed with legal provisions relevant to the Corporate Secretarial functions of a listed company (as well as public company, private company and LLPs) and should have a collaborative approach in owning up and discharging his/her responsibilities independently
Key Responsibilities
- Performing the overall Secretarial functions and Compliances with provisions of Listing Regulations / Company Law / SEBI Regulations / compliances of LLP;
- Handling & assisting in managing Secretarial Compliances of listed entities, subsidiaries and promoter entities and all related activities thereto;
- Conducting AGM, Board Meeting, General Meeting, Committee Meetings of the Board and handling Postal Ballot procedure for listed / public / private company;
- Preparation of Notice, Agenda and Minutes of Meetings of the Board and Shareholders;
- Secretarial compliances relating to ESGS schemes and handling corporate actions for allotment of the shares;
- Filing of necessary forms and reports with ROC / MCA / Stock Exchanges / SEBI / RTA etc. in e-mode and XBRL modes;
- Assisting in activities in connection with fund raising activities, restructuring, incorporation of companies, conversion, mergers and acquisitions;
- Statutory compliances in connection with debt securities and assisting with listing of commercial papers, debentures, ESOPs, Corporate Actions;
- Annual filing of companies and LLPs;
- Updating Policies / Terms of the Reference of Committees as may be required from time to time;
- Legal Research & Support wherever required;
- Preparation and maintenance of statutory registers of companies for listed / unlisted entities and LLPs;
- Organize minutes of subsidiary companies;
- Preparing and maintaining secretarial records of companies and LLPs including statutory registers and Directors database;
- Corresponding, collating required information, preparing secretarial reports and assisting with Secretarial and Statutory Audits of companies and LLPs;
- Updating the Secretarial Team with updates / amendments to changing SEBI laws and Companies Act requirements;
- To assist the Secretarial Team in various Secretarial matters, activities & compliances as and when required and necessary.

- Strong proficiency in office software such as MS Office Suite (Word, Excel, PowerPoint, Outlook) and knowledge of video conferencing tools (e.g., Zoom, Teams).
