Role Review:

Whatfix is seeking a Senior Manager - Legal to lead the legal function, focusing on driving speed, control, and cost efficiency while maintaining a legal framework scalable and aligned with future IPO readiness. The primary focus areas for the legal team are contracting support for customers and vendors, legal compliance, and IPO preparedness.

Key Responsibilities:

1. Contracting and Deal Management

  • Own end-to-end contracting, encompassing redlining, negotiations, and driving time-bound closures.

  • Partner with Sales & Revenue Operations to provide deal desk support, manage non-standard approvals, and define fallback positions to improve deal velocity.

  • Standardise vendor/procurement contracting and associated risk positions.

  • Build templates, playbooks, and clause libraries, and maintain a central contract repository with version control.

  • Implement risk-tiering of contracts.

2. Compliance, Risk, and Governance

  • Ensure statutory, secretarial, and regulatory compliance across all jurisdictions, maintaining an audit-ready compliance calendar.

  • Assess and manage all legal risks, including those related to shareholders and broader stakeholder matters

  • Own data privacy and regulatory frameworks, including cross-border considerations.

  • Oversee the insurance portfolio (D&O, E&O, cyber) and claims coordination.

  • Drive litigation and dispute strategy, including provisioning inputs and outcome tracking.

  • Facilitate IPO readiness by overseeing governance, documentation, policies, and coordination with external advisors.

  • Oversee Board and governance processes, including minutes, resolutions, charters, and approval frameworks.

  • Support M&A and strategic transactions, including diligence and integration.

3. Team and Operational Leadership

  • Lead and manage the legal team with defined Service Level Agreements (SLAs), operating with India-US overlap to support global deal cycles.

  • Enable business teams through training and knowledge management to reduce dependency on the legal team.

  • Provide periodic reporting on pipeline, cycle times, key risks, compliance status, and litigation.

Operating Principles (Guardrails)

The role is expected to operate with the following principles:

  • In-house Model: The model should be in-house led, conducting redlines internally. Outside counsel should be used selectively based on complexity, jurisdictional requirements, risk profile, and deal value with clear thresholds.

  • Cost Efficiency: Ensure cost discipline with active tracking of legal spend versus budget and outcome-based use of counsel.

  • Discipline and Prioritization: Enforce turnaround SLAs and prioritization discipline aligned to revenue and risk.

  • Standardization: Drive standardization using approved templates, playbooks, and fallback matrices to minimise non-standard deviations.

  • Data Integrity: Maintain a single source of truth for contracts with strong version control and audit trails.

  • Risk Escalation: Apply risk-based escalation protocols with clear approval matrices and documentation.

  • Cross-functional Alignment: Operate with tight cross-functional alignment (Sales, Finance, HR, Procurement) to appropriately balance speed and control.

  • Proactive Compliance: Build a proactive compliance posture with zero missed filings and forward-looking regulatory tracking.

  • Continuous Improvement: Deliver data-driven reporting and continuously improve cycle times, risk exposure, and efficiency.

Qualification Criteria:

  • 10+ years post qualification experience in the technology industry / domain

  • Bachelor's degree in Law (LLB/LLM or equivalent qualification) from a recognized institution.

  • Company secretary qualification will be beneficial but not compulsory

  • Experience with managing compliance and secretarial work in a Private Limited Company

  • Experience in cross border contracting and negotiation

  • Exposure to IPO readiness, board governance, fundraising, M&A, or strategic transactions is strongly preferred.
