Job Title: Senior Manager – Legal and Secretarial

Job Description:
We are seeking a highly motivated and detail-oriented Legal and Secretarial Specialist to join our team in Contract Management & Secretarial role. In this position, you will be responsible for drafting, reviewing, and ensuring compliance with contracts, agreements, and legal documents and secretarial related compliance. Your role will be crucial in maintaining strong business relationships and minimizing legal risks for the organization.
Key Responsibilities:
Draft and Review Contracts:
- Create, review, and revise contracts, including but not limited to vendor agreements, customer contracts, partnership agreements, and confidentiality agreements.
- Ensure contracts are aligned with the organization's policies and legal requirements.
Compliance Management:
- Monitor and ensure compliance with contractual terms and obligations.
- Track critical milestones, deadlines, and performance metrics, and alert relevant stakeholders to ensure adherence.
Legal Research:
- Stay updated on relevant laws and regulations to ensure all contracts and agreements remain compliant.
- Conduct legal research when necessary to support contract drafting and compliance efforts.
Risk Mitigation:
- Identify potential risks and issues in contracts and collaborate with legal counsel to mitigate them.
- Develop strategies to minimize contractual risks and disputes.
Documentation and Record Keeping:
- Maintain accurate and organized records of all contracts and related documents.
- Develop a systematic filing and retrieval system to ensure easy access to contract information.
Communication and Collaboration:
- Work closely with internal departments, external partners, and legal counsel to facilitate successful contract negotiations and resolution of compliance issues.
- Provide guidance and training to Departments on contract-related matters.
Secretarial Functions:
- Assist CFO in managing secretarial responsibilities as per the Companies Act, 2013.
- Maintain and update the statutory records and registers.
- record minutes of Audit Committee, board meetings, general meetings, and committee meetings.
- File necessary documents and forms with MCA/ regulatory authorities and ensure timely submissions.
- Respond to notices as and when received as per requirement.
- Manages Organisation secretarial compliance as per the legislations and time frame.
Qualifications:
- Bachelor's degree in law, business, or a related field. Membership with the Institute of Company Secretaries of India (ICSI).
- 5+ years of experience in contract drafting and compliance management and Secretarial, preferably in a legal or corporate domain.
- In-depth knowledge of contract law and a strong understanding of legal and regulatory compliance.
- Proficiency in using contract management software and tools.
- Strong organizational skills with attention to detail.
- Problem-solving skills and the ability to work in a fast-paced environment.
- Strong knowledge of company laws, regulations, and secretarial practices.
- Excellent communication, interpersonal, and negotiation skills.
- Ability to work independently, manage multiple tasks, and meet deadlines.
