Role Summary
To ensure that Oaklane operates in full compliance with applicable laws, regulations, and internal governance standards, while proactively managing legal risks, advising management on legal and regulatory matters, and acting as a key interface with regulators, statutory authorities, and external counsel.
Role and Responsibilities:
- Ensure compliance with applicable Indian corporate laws, including the Companies Act, SEBI, FEMA, RBI, regulations, and other relevant legal and regulatory frameworks.
- Oversee statutory filings and regulatory reporting requirements in a timely and accurate manner.
- Organizing and coordinating of Board/Committee Meetings, General Meetings and Postal Ballot, etc.
- Oversee the comprehensive management of Board, Committee, and General Meetings, including the preparation of agendas, board packs, drafting of resolutions, minutes, filing with the Registrar of Companies (RoC), and ensuring strict compliance with the Secretarial Standards and the Companies Act, 2013.
- Comprehensive knowledge of processes including obtaining ISINs for securities, opening of Demat Accounts, facilitating Dematerialization, executing Corporate Actions, managing transfers, others and coordinating with RTA, Depositories, and Depository Participants to ensure timely completion of transactions within stipulated timelines.
- Collaborate with internal and external stakeholders to facilitate required corporate approvals, coordinate documentation, and maintain robust governance processes.
- Monitor changes in legal and regulatory frameworks and provide timely updates and actionable insights to senior leadership.
- Ensure compliance with constitutional documents such as LLP Agreement, Articles of Association, Memorandum of Association etc.
- Maintain high standards of documentation, governance reporting, and stakeholder communication.
- Prepare compliance calendars, ensure timely filings, and monitor adherence across functions
- Act as a nodal point for inspections, audits, and information requests
- Support management in evaluating new products, services, or business initiatives from a legal and compliance perspective.
- Draft, review, negotiate, and vet commercial contracts, including vendor agreements, service contracts, NDAs, MOUs, engagement letters, and partnership agreements
- Ensure contracts adequately protect the Company's legal and commercial interests and are aligned with applicable laws and internal risk frameworks
- Coordinate with external legal counsel on litigation, arbitration, regulatory proceedings, and disputes.
Skills and Expertise Required:
- Qualified Company Secretary with 8-10 years of relevant experience. Legal degree is a plus.
- Understanding of Indian corporate laws, SEBI and RBI regulations, and cross-border structuring principles under FEMA.
- Preferably experienced in PMS/AIF or other SEBI regulated entities.
- Industry connects, adoptable to change, quick with technology adoption, highest level of integrity.
