- Oversee the operational execution of investments, capital contributions, distributions and exits, including checking approvals and payment conditions.
- Maintain investment and portfolio trackers.
- Monitor asset and SPV cash flows, capital expenditure and debt servicing with the investment team.
3. Capital raising: debt and equity (a full workstream)

- Take each debt proposal through lender appraisal, credit queries, due diligence, rating (where needed), sanction, documentation and disbursement.
- Negotiate commercial and legal terms with lenders and counsel: pricing, tenor, repayment profile, security and guarantees, covenants and conditions precedent (CPs) and conditions subsequent (CSs).
- Track and satisfy all CPs before drawdown and all CSs after it, including security creation, charge filings (ROC/CERSAI), insurance endorsements and other documentation.
- Monitor financial covenants (e.g. leverage, DSCR, LTV) and non-financial covenants on an ongoing basis.
- Prepare compliance certificates and periodic lender reporting, give early warning of any potential breach, and manage waivers and consents.
- Manage the debt book: repayment and interest schedules, rate resets, prepayment and refinancing opportunities, and lender relationships.
- Support the CEO on equity raises from investors and co-investors: data rooms, financial models, investor presentations and Q&A, due diligence coordination, and term sheet and shareholder agreement documentation.
- Run post-closing for equity raises: share or unit allotments, regulatory filings (including FEMA where relevant), investor onboarding and KYC, and ongoing investor reporting and rights tracking.
4. Board meetings and corporate governance
- Act as the governance lead for the Board and its committees, including the Investment Committee.
- Appoint, coordinate and oversee the external Company Secretary (a CS qualification is not required for this role).
- Review their output and ensure all secretarial work is complete, accurate and on time.
- Plan the annual board calendar. Prepare agendas, notices and board packs, and circulate them on time.
- Draft minutes, resolutions (including circular resolutions) and action-taken reports, and track decisions through to closure.

- Maintain statutory registers, records and the related-party and conflict-of-interest registers.
- Coordinate shareholder meetings, filings and secretarial audit where applicable.
5. Compliance, taxation and audit

- Manage statutory and internal audits: schedules, query resolution, finalising financial statements and closing audit observations.
- Coordinate tax planning and transaction tax advice with external specialists, and manage tax notices, assessments and disputes.
- Track regulatory changes affecting the platform and lead the required implementation.
6. Legal coordination and transaction documentation
