Position

Senior Manager/ AGM in Compliance Function (role Company Secretary & Compliance Officer)

Requisite experience

Experience in NBFC/ Bank in lending business for at least 8-10 years Experience in corporate governance and dealing with independent directors, auditors and RBI Well versed with RBI regulations for NBFC-ICC, FEMA regulations and provisions of Companies Act, 2013

Ability to handle team of professionals

Professional Qualification

Company Secretary and law graduate from reputed university

Job Description:

Governance

a ) Ensure that Board and the Committees are properly constituted and convened with proper agenda & minutes.

b) Ensure that adequate support is provided to other functions for preparing agenda and relevant reports/ documents for the committee meetings.

c) Provide timely legal updates to Senior management about new or changed laws impacting company business

.d) Drafting requisite policies and SOPs required under applicable laws and providing support to other functions by providing applicable regulations in this regard

e) Be the custodian of all company policies and maintain compliance tracker for applicable compliances, committees, policies etc and keep them updated.

Secretarial Compliance

a)Resolve compliance issues as occur

b) Maintain all compliance records and resgiters

c) Support shareholders in matters like De-mat &ISIN

d)Timely filing of non-financial returns with

ROC RBI Compliances

a) Support in RBI Inspection and audit

b) Managing ad hoc queries from RBI

c) Managing all regulatory portals of RBI and ensure timely filing of returns with RBI

d) Performing compliance testing and compliance risk assessment as per RBI requirements Funding Transactions

a)Providing legal support in fund raising through debt instruments, ECB, term loans etc

b)Ensuring that charges created on company assets are duly registered and updated/ satisfied in government records.

c)Providing adequate opinion/ analysis on funding options

d)Coordinate with external parties like Debenture Trustee, DP, FPIs etc in relation to funds raised by the company
