Assistant Manager – Legal

Role Summary
The Assistant Manager – Legal will be responsible for supporting the company's legal function with a primary focus on the review, negotiation, and management of vendor and commercial agreements. The role requires a strong understanding of contract law, risk management, and stakeholder collaboration, and involves end‑to‑end ownership of the contract lifecycle in a fast‑paced corporate environment.
This position will work closely with business, procurement, finance, and other cross‑functional teams, and will report to the Legal Head.
Key Responsibilities
Contract Review and Negotiation
- Review, draft, negotiate, and finalize a wide range of commercial and vendor agreements, including procurement contracts, SaaS and technology agreements, professional services, staffing agreements, NDAs, and data protection agreements.
- Identify legal, commercial, and compliance risks in contracts, particularly in areas such as indemnity, limitation of liability, payment terms, intellectual property, confidentiality, data protection, and termination.
- Lead negotiations with vendors and service providers independently, while aligning legal positions with business objectives.
- Ensure contracts adhere to internal policies, approval matrices, and risk standards.
Contract Lifecycle Management
- Manage the end‑to‑end contract lifecycle, including intake, review, execution, amendments, renewals, and termination.
- Actively utilize Contract Lifecycle Management (CLM) tools to track contracts, obligations, and renewal timelines.
- Maintain accurate and organized contract records and reports to ensure visibility and compliance.
Risk Management and Compliance
- Proactively identify contractual and operational risks and recommend appropriate mitigation strategies.
- Support remediation efforts for existing contracts that lack adequate legal protections.
- Stay updated on applicable laws and regulations impacting commercial and vendor contracts.
- Assist in developing and updating standard contract templates, clause libraries, and negotiation playbooks.
Stakeholder Management
- Serve as a legal partner to procurement, finance, HR, IT, and business teams.
- Clearly communicate legal risks and recommendations to non‑legal stakeholders.
- Escalate high‑risk or complex matters to senior legal leadership with structured analysis and recommendations.
Team Support and Process Improvement
- Provide guidance and support to junior members of the legal team as required.
- Assist senior legal leadership in driving process improvements, audits, and contract governance initiatives.
- Contribute to building scalable legal processes aligned with the company's growth objectives.
Qualifications and Experience
· Five‑year integrated bachelor's degree in law from a recognized university.
- 5–8 years of relevant legal experience, with significant exposure to reviewing and negotiating vendor and commercial agreements.
- Prior experience in a corporate, technology, consulting, or fast‑growing organization is preferred.
- Hands‑on experience with Contract Lifecycle Management (CLM) tools.
- Strong drafting, analytical, and negotiation skills.
- Excellent communication skills with the ability to work effectively with cross‑functional teams.
- Ability to manage multiple priorities in a dynamic environment.
Technical Skills
- Proficiency in MS Office applications (Word, Excel, PowerPoint, Outlook).
- Experience with e‑signature platforms such as Docusign.
- Hands‑on experience with Contract Lifecycle Management tools.
