To lead and manage legal matters related to corporate finance, commercial contracts, and regulatory compliance, with a focus on supporting borrowing and financing transactions. The role involves independently handling legal documentation, negotiations, dispute resolution, and advising senior management on the legal impact of strategic decisions. This position acts as a key liaison between the company, financial institutions, and external legal counsel.
Responsibilities:
Contract & Finance Documentation:
-Draft, review, and negotiate commercial contracts, loan agreements, security documents, guarantees, and other finance-related legal documentation.
-Ensure legal soundness and commercial viability in financing and borrowing structures. Legal Advisory Corporate & Financing:
-Provide legal advice on corporate, commercial, and financial matters including debt transactions, inter-creditor arrangements, and funding documentation.
-Interpret and ensure compliance with regulatory requirements applicable to financing and corporate transactions.
Stakeholder Engagement:
-Liaise with banks, NBFCs, financial institutions, and legal advisors to facilitate seamless execution of financing and funding arrangements.
-Coordinate with internal departments to support due diligence, legal opinions, and documentation for loans and credit facilities.
Litigation & Dispute Management:
-Handle legal disputes, arbitration, litigation, and responses to legal notices independently.
-Manage external legal counsel and ensure alignment with the company's legal strategy.
Risk Identification & Compliance:
-Identify potential legal and financial risks in transactions and business operations.
-Recommend mitigation strategies and ensure adherence to applicable laws, including Companies Act, FEMA, RBI regulations, and sectoral guidelines.
Strategic Legal Support:
-Advise senior management on legal implications of business strategies, corporate actions, and investments.
-Support corporate governance initiatives and assist with board-level documentation where needed.
Qualification:
Bachelor's Degree in Law (LL.B.) Mandatory Master's Degree in Law (LL.M.) or Company Secretary (CS) Preferred Additional certifications in Banking Law or Finance Law Advantageous.
Experience :
1015 years of post-qualification experience in legal advisory roles.
Skills:
Strong exposure to banking and finance legal documentation.
Experience working with or for NBFCs, banks, or infrastructure/transport companies.
Proven track record in handling complex corporate legal issues independently.
