Your Role:

We are looking for a Legal professional who will play a key role in strengthening Virohan's Legal, compliance, and corporate structuring foundation.

This role entails end-to-end responsibility for general corporate matters, private equity and M&A transactions, ensuring legal compliance, managing contracts, and providing strategic legal advice to stakeholders. It requires strong expertise in corporate law, contract management, risk mitigation, and stakeholder management, while serving as a trusted advisor as the company scales.

What you'll be responsible for

1.Compliance and Risk Management:

• Ensuring the company complies with all relevant laws, rules, and regulations.
• Identifying and mitigating legal risks through policies and audits.
• Developing and implementing risk management strategies.

2. Contract Management

• Draft, review, negotiate, and finalize a wide range of agreements including:

1. Vendor agreements
2. Service agreements
3. NDAs, MoUs, partnership contracts

• Ensure contracts align with legal requirements and business interests.
• Develop and standardize contract templates and processes.

3. Corporate Transactions:

• Assisting with the legal aspects of mergers, acquisitions, and divestitures.
• Structuring and advising on funding and investment deals.
• Handling the legal processes for business incorporation, restructuring, or dissolution.

4. Business Collaboration:

• Work closely with business leaders to understand their objectives and provide legal guidance that aligns with business goals.
• Facilitate effective communication between the legal function and other departments to ensure integrated risk management.

5. Day-to-Day Legal Operations:

• Managing a company's legal and financial functions.
• Coordinating with internal teams for legal inputs and approvals.
• Encourage continuous professional development within the legal team.

An ideal candidate should have:

• Being an entrepreneur at heart so as to effectively collaborate with the business
• Strong knowledge of corporate and commercial laws.
• Excellent contract drafting and negotiation skills.
• Analytical and problem-solving skills
• Strong communication & interpersonal skills
• 5+ years of experience in similar role in managing legal and regulatory risk
