Job Description

Job Summary

TAC Security is looking for an experienced Senior Legal Counsel with a Company Secretary (CS) certification to lead the organization's legal, corporate governance, and compliance functions. The ideal candidate will have extensive experience in corporate law, commercial contract management, regulatory compliance, and board governance. The candidate will work closely with senior leadership, ensuring legal compliance while supporting business growth and strategic initiatives

Key Responsibilities

Legal Advisory

  • Provide legal advice to senior management on corporate, commercial, employment, technology, intellectual property, and regulatory matters.
  • Draft, review, negotiate, and manage commercial agreements, including:
  • Master Service Agreements (MSAs)
  • SaaS Agreements
  • Non-Disclosure Agreements (NDAs)
  • Vendor & Procurement Contracts
  • Customer Agreements
  • Partnership & Alliance Agreements
  • Employment and Consultancy Agreements
  • Identify legal risks and provide practical, business-oriented solutions.
  • Manage litigation, arbitration, legal notices, and coordinate with external legal counsel.
  • Support mergers, acquisitions, investments, and strategic business transactions when required.

Corporate Governance & Company Secretarial

  • Ensure compliance with the Companies Act, 2013, Secretarial Standards, FEMA, and other applicable laws.
  • Organize and manage Board Meetings, Committee Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs).
  • Prepare Board agendas, resolutions, meeting minutes, and maintain statutory registers.
  • Ensure timely filing of statutory forms, annual returns, and regulatory submissions with the Registrar of Companies (ROC) and other authorities.
  • Advise the Board of Directors on governance, compliance, and legal obligations.
  • Coordinate statutory, secretarial, and compliance audits.

Compliance & Risk Management

  • Develop and strengthen the organization's legal and compliance framework.
  • Monitor changes in laws and regulations affecting the business.
  • Ensure compliance with corporate, labor, contractual, and technology-related regulations.
  • Support compliance initiatives related to data privacy, information security, and cybersecurity regulations.
  • Collaborate with HR, Finance, Sales, Procurement, and Engineering teams on legal matters.

Required Qualifications

  • Qualified Company Secretary (CS)
  • Bachelor's degree in Law (LLB) – Mandatory.
  • LLM will be an added advantage.
  • 5 -10 years of experience in legal and corporate governance roles.
  • Prior experience in the IT, SaaS, technology, or cybersecurity industry is preferred.
  • Strong knowledge of the Companies Act, 2013, FEMA, commercial laws, labor laws, intellectual property, and corporate governance.
