Senior Legal Counsel

• As a hands-on generalist, you will collaborate with local and global teams in providing risk adjusted legal solutions and support in contract reviews, compliance, and dispute resolution

• Using your industry experience, you will closely collaborate with your global compliance and privacy team members to facilitate the business in India and ASEAN region

Key Duties and Responsibilities

• Draft, review, and negotiate various contracts, including software licensing agreements, cloud subscription agreements, data processing agreements, vendor contracts, memorandums of understanding, trademark and content licensing, employment agreements, and partnership agreements.

• Manage and protect the companys intellectual property rights, including trademarks, and copyrights, and enforce these rights when necessary. Support company s License Compliance team in anti-piracy actions.

• Provide guidance on corporate governance matters in India and ASEAN region, including board meetings, corporate records, and MA activities in the region.

• Stay informed about changes in regional regulatory requirements that may impact the business and ensure compliance.

• Handle or oversee dispute resolution processes, including litigation, arbitration, and mediation, and work with external legal counsel when necessary.

• Provide legal advice on employment-related matters, including labor laws, employment contracts, and employee disputes.

• Collaborate with legal teams in the parent company in the US and Asia on cross-border legal matters, ensuring alignment with global corporate strategy.

• Ensure in collaboration with HR and finance departments that the companys operations comply with all relevant Indian laws, including data privacy and employment laws, as well as any applicable US laws including export control, FCPA, etc.

Minimum Education/Certification Requirements and Experience

• A law graduate with at least 5-7 years of relevant industry experience

• Experience of working in a global business set-up that required collaborating across regions

• Proficient in intellectual property laws, negotiating software license and cloud subscription agreements and finding risk adjusted solutions

• Competent in US export laws, data privacy and FCPA

• Good understanding of current technology trends is a requirement

• Logical problem-solving, and strong interpersonal and communication skills

• Strong organizational and time management skills, possesses a sense of urgency

Preferred Qualifications and Skills

• Certifications in corporate law and privacy domains.
