This role is designed for a strategic legal professional who can bridge the gap between Indian operations and U.S. corporate requirements. As we scale our AI Agentic platform, candidate will be the primary architect of our contractual framework, ensuring our growth trajectory remains compliant and protected as we scale further.

Core Responsibilities
- International Contract Management
- Draft, review, and negotiate complex SaaS agreements, Master Service Agreements (MSAs), and Statements of Work (SOWs) for our U.S. Holding Company.
- Manage the end-to-end lifecycle of vendor contracts, employment agreements, and partnership deals across Indian and U.S. jurisdictions.
- AI & Data Privacy Governance
- Draft and maintain Privacy Policies, Terms of Service, and Data Processing Agreements (DPAs) tailored for AI-driven products (addressing LLM data usage, intellectual property in outputs, and bias mitigation).
- Ensure compliance with GDPR, CCPA/CPRA, and evolving Indian DPDP Act regulations.
- Corporate Secretarial & Compliance
- Liaise with U.S. legal counsel to manage Delaware (or equivalent) entity filings and board resolutions.
- Oversee inter-company agreements between the India subsidiary and the U.S. parent company (Transfer Pricing, IP Assignment).
- Manage the ESOP (Employee Stock Option Plan) administration for Indian employees under the U.S. plan.
- IP Protection
- Safeguard the company's core AI intellectual property through robust IP assignment clauses and non-disclosure agreements (NDAs).
- Advise on the legal implications of using open-source libraries and third-party APIs (e.g., OpenAI, Anthropic).
Education
LL.B. or LL.M. from a Tier-1 Law School.
Experience
46 years of experience, preferably with a mix of Law Firm and In-house (SaaS/AI startup).
U.S. Expertise
Proven track record in working on US/ cross border agreements.
Tech Savvy
Familiarity with AI terminology, API licensing, and cloud infrastructure legalities.
Communication
Exceptional English drafting skills with a business-first approach to legal risk.
