Senior Director Corporate Development & M&A

This role will lead and drive Indegene's global inorganic growth agenda. Reporting to Senior Vice President, and Global Head of Corporate Development, the Senior Director will shape and execute the company's M&A strategy, oversee end-to-end transaction execution, and ensure successful integration to unlock strategic and financial value.

This is a high-impact, enterprise-facing role requiring deep strategic thinking, financial rigor, and strong cross-functional leadership.

Key Responsibilities

Deal Origination & Pipeline Management

  • Build and maintain a robust global target pipeline across priority sectors
  • Lead proactive sourcing efforts, including founder outreach and strategic relationship building
  • Manage banker ecosystem and private equity relationships to generate high-quality proprietary and intermediated opportunities
  • Drive sector scans and competitive landscape assessments

Transaction Execution

  • Lead end-to-end deal processes including:
  • Target evaluation and financial modeling
  • Valuation, deal structuring, and negotiation
  • Board materials including business case, and investment committee presentations
  • Transaction documentation and closing coordination
  • Provide thought leadership on transaction structures (earnouts, carve-outs, minority investments, strategic partnerships, etc.)
  • Ensure disciplined capital allocation and risk assessment

Integration & Value Realization

  • Support and provide key inputs into integration strategy in partnership with business leaders
  • Track and report post-deal performance against investment thesis

Governance & Intelligence

  • Establish and maintain centralized M&A governance processes
  • Develop structured market intelligence capability
  • Build dashboards and executive reporting on pipeline, market trends, and competitor activity

Strategic Leadership

  • Work with the leadership including Business Unit leaders, and CFO, to lead and execute M&A transactions
  • Identify white spaces, platform adjacencies, and capability gaps across the pharma value chain
  • Develop forward-looking investment theses and acquisition roadmaps

Education

  • MBA from a top-tier business school (Indian or international)

Experience

  • 10+ years of experience in Investment Banking, Corporate Development, Strategy Consulting, or M&A leadership within a large corporate
  • Demonstrated track record of leading end-to-end M&A transactions
  • Experience presenting to executive leadership and boards
  • Exposure to healthcare, pharma services, life sciences, or technology sectors preferred

Skills & Capabilities

  • Ability to generate market insights and intelligence
  • Strong relationship building ability and ability to network with global ecosystem including potential targets, investment banks, PE/VC, consultants, etc
  • Deep understanding of transaction structures and deal mechanics
  • Strategic thinker with ability to translate corporate ambition into actionable deal pipeline
  • Strong negotiation and stakeholder management skills
  • Ability to operate in a global, cross-functional environment
  • High ownership mindset with execution rigor
  • Strong financial modeling and valuation expertise
