The Senior Corporate Secretarial Associate manages the full company secretarial function for a portfolio of client companies - maintaining statutory compliance with ACRA requirements, preparing governance documentation (resolutions, minutes, AGM papers), and supporting corporate transactions such as incorporations, employment pass applications, and banking changes. The role also covers client due diligence and requires independent, detail-driven execution across multiple client accounts with minimal supervision.
Responsibilities
- Assist in performing all secretarial duties (including preparing/ arranging of directors and shareholders resolutions for on-going corporate secretarial matters for clients, maintenance of registers and minutes books, liaising with corporate secretarial agent on company incorporation, application of employment passes, opening bank accounts and change of signatories, etc. etc.)
- Assisting in drafting and updating database of corporate secretarial precedents.
- Preparation of annual general meeting documents
- Updating the statutory records and minutes book of companies
- E-filing of various returns, resolutions and annual return with ACRA.
- Providing administrative and operational support to the assigned team
- Update and maintain statutory and corporate records required by Companies Act
- Customer due diligence (on-boarding and on-going monitoring)
- Prepare resolutions, minutes of meetings and ancillary documents
- Other corporate or ad-hoc duties as required.
Qualifications
- Holding or currently pursuing corporate secretarial qualifications (SAICSA) would be advantageous.
- Self-motivated, independent and able to work with minimal supervision
- Positive working attitude with strong initiatives and a team player
- Detailed oriented and able to work well under pressure
- Good team player and able to communicate (verbally and written) well with all stakeholders
- Organized, meticulous, deadline oriented with good time management skills
