Hiring: Senior Corporate Lawyer

Experience: 79 years

1.CONTRACT DRAFTING & REVIEW (PRIMARY KRA CORE WORK)

Objective: Create contracts that are clear, enforceable, and dispute-resistant.

KRAs:

Draft & review:

  • Vendor agreements
  • Client service agreements
  • Employment & consultant contracts
  • NDAs, MOUs, addendums
  • Ensure:
  • Clear scope of work
  • Payment milestones & triggers
  • Timelines & consequences
  • Termination & exit clarity

Measurement:

  • Draft quality score
  • Rework rate (low)
  • Turnaround time adherence
  • Client clarity feedback

2.CORPORATE THINKING IN CONTRACTS (KNOWLEDGE-BASED, NOT FILINGS)

Objective: Ensure contracts align with company structure & governance.

KRAs:

  • Apply corporate law understanding while drafting:
  • Authority & signing powers
  • Board/shareholder approvals
  • Founder vs company obligations
  • Flag risks relating to:
  • Related party transactions
  • Director liabilities
  • Shareholder exposure
  • Coordinate with corporate team when escalation is required

Measurement:

  • Corporate risks flagged early
  • Zero invalid/unauthorised contracts
  • Quality of advisory notes

3.IPR AWARENESS & PROTECTION IN CONTRACTS (MANDATORY KNOWLEDGE)

Objective: Prevent IP loss through poorly drafted contracts.

  • Ensure correct IP clauses in:
  • Employment agreements
  • Vendor & freelancer contracts
  • Software / design / content agreements
  • Identify:
  • IP ownership risks
  • Licensing vs assignment confusion
  • Confidentiality gaps
  • Escalate to IPR lawyer only when required

4.PREVENTIVE RISK IDENTIFICATION (KEY SENIORITY MARKER)
