Position Details:-

Position: Sr.Manager-Compliance

Job Location- Gurgaon, Sector-62 (work-from-office, 5 Days; No hybrid) 

Role Purpose:-

The Company Secretary will lead corporate governance, SEBI & stock exchange compliance, board processes, and regulatory liaison for a listed entity. The role ensures best-in-class governance, timely disclosures, and robust compliance frameworks while acting as a trusted advisor to the Board and senior management.

  • Key Responsibilities

1. Board, Committees & Governance

  • Manage end-to-end Board, Committee, and shareholder meeting processes
  • Draft agendas, notes, minutes, and action trackers for Board/Committees
  • Advise the Board on Companies Act, SEBI LODR, PIT, ICDR, SAST and governance matters
  • Support independent directors and ensure effective functioning of committees

2. SEBI, Stock Exchange & Disclosure Compliance

  • Ensure full compliance with SEBI (LODR), PIT, SDD, RPT, insider trading framework
  • Timely disclosures to NSE/BSE including material events, outcomes, financial results, investor communications
  • Manage corporate announcements, investor queries, and exchange correspondence
  • Handle queries, notices, inspections from SEBI/Stock Exchanges

3. Corporate Law & Regulatory Affairs

  • Ensure compliance with Companies Act, FEMA (if applicable), Secretarial Standards
  • Handle corporate actions: dividends, buyback, bonus, rights issues, ESOPs, postal ballots, AGM/EGM
  • Manage filings with MCA, stock exchanges, depositories, and ROC
  • Oversee secretarial audits and closure of observations

4. Promoter, RPT & Insider Trading Compliance

  • Oversee promoter & promoter group disclosures and compliance tracking
  • Manage RPT approvals (Audit Committee, Board, shareholders) and documentation
  • Implement and monitor Code of Conduct under PIT Regulations
  • Maintain SDD and structured processes for UPSI management

5. Subsidiaries, Group Governance & International Entities

  • Ensure compliance framework across subsidiaries (including LLPs/foreign subs)
  • Guide on group governance, MoMs, reserved matters, and consolidation requirements
  • Support M&A, restructuring, JVs, and investments from regulatory perspective

6. Investor Interface & Governance Reporting

  • Support investor relations from governance and compliance angle
  • Ensure high-quality annual report disclosures (corporate governance, secretarial, policies)
  • Strengthen ESG and governance disclosures in line with evolving best practices

7. Process Excellence & Digital Compliance

  • Strengthen compliance calendars, trackers, and automation of filings
  • Implement SOPs, documentation standards, and governance frameworks
  • Proactively track regulatory changes and sensitize management

 

Qualification & Experience (Must-Have)

  • Qualified Company Secretary (ACS/FCS)
  • Experience in a listed company, currently working in a listed company(must-have)
  • Exposure to board advisory, SEBI regulations, and stock exchange compliance

Core Competencies

  • Deep knowledge of Companies Act, SEBI LODR, PIT, ICDR, SAST
  • Strong drafting skills (Board notes, disclosures, regulatory responses)
  • Hands-on experience with AGMs, postal ballots, corporate actions
  • Experience dealing with regulators, auditors, and external counsel
