Position: Semi-Qualified Company Secretary

Role Overview

Maverick Simulation Solutions Limited is seeking a Semi-Qualified Company Secretary to support corporate governance, regulatory compliance, and IPO-related activities. This role offers hands-on exposure to SEBI regulations, listing compliances, and capital market transactions, making it an excellent opportunity for professionals looking to build expertise in corporate and securities law.

Eligibility Criteria

Cleared at least two groups of the Professional Programme conducted by the Institute of Company Secretaries of India (ICSI).

Candidates appearing in the December attempt will be preferred.

01 year of relevant experience (excluding articleship/training).

Exposure to listed or IPO-bound companies preferred.

Key Responsibilities

Corporate & Secretarial Compliance

Ensure compliance with the Companies Act, 2013, applicable rules, and Secretarial Standards (SS-1 & SS-2).

Prepare and file statutory forms, returns, and disclosures with MCA/ROC and regulatory authorities.

Maintain statutory registers, minutes, and corporate records.

Draft notices, agendas, minutes, and related documentation for Board, Committee, AGM, and EGM meetings.

Support corporate governance documentation and director-related compliances.

SEBI & Listing Compliances

Manage compliance under SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

Support compliance under SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018.

Coordinate with stock exchanges, depositories, and Registrars & Transfer Agents (RTA) for share capital and corporate action matters.

IPO & Capital Market Transactions

Assist in preparation and verification of DRHP, RHP, Prospectus, and related filings.

Coordinate with merchant bankers, legal advisors, auditors, and intermediaries during IPO processes.

Support pre-IPO and post-listing compliances, disclosures, and investor-related matters.

Assist in due diligence, capital restructuring, mergers, acquisitions, and related regulatory filings.

Audit & Stakeholder Coordination

Support secretarial, statutory, and internal audits.

Liaise with auditors, consultants, legal advisors, and internal teams to ensure compliance and documentation accuracy.

Facilitate effective communication between management, directors, regulators, and stakeholders.

Required Skills & Competencies

Technical Knowledge

Companies Act, 2013 and applicable rules

Secretarial Standards (SS-1 & SS-2)

SEBI Regulations, including LODR (2015) and ICDR (2018)

Core Skills

Strong drafting and documentation abilities

Attention to detail and regulatory understanding

Effective coordination and stakeholder management

Proficiency in MS Office and compliance filing systems

Preferred

Exposure to IPO documentation and listed company compliances

Basic understanding of FEMA and RBI regulations

Familiarity with depository systems and share capital processes

Experience
