Manager – Transaction Advisory Services (Quality of Earnings & Financial Due Diligence)
Position Summary
We are seeking an experienced Manager to join our Transaction Advisory Services team. The role will focus on providing financial due diligence support for mergers and acquisitions, private equity transactions, strategic investments, and carve-outs. The successful candidate will lead Quality of Earnings (QoE) engagements, working capital assessments, debt and debt-like analyses, and pre-deal accounting evaluations while managing client relationships and mentoring team members.
This role requires strong analytical capabilities, transaction experience, project management skills, and the ability to deliver actionable insights that support investment and acquisition decisions.
Key Responsibilities
Financial Due Diligence & Quality of Earnings
- Lead buy-side and sell-side financial due diligence engagements for private equity and corporate clients.
- Perform comprehensive Quality of Earnings (QoE) analyses, identifying normalized earnings and key business drivers.
- Assess revenue quality, profitability trends, customer concentration, margin sustainability, and operational performance.
- Evaluate one-time, non-recurring, and non-operational items impacting reported earnings.
Adjusted EBITDA Analysis
- Develop and validate Adjusted EBITDA calculations and normalization adjustments.
- Assess management adjustments and identify appropriate EBITDA add-backs.
- Analyze cost structures, recurring versus non-recurring expenses, and operational efficiencies.
- Present findings and recommendations to clients and transaction stakeholders.
Working Capital Due Diligence
- Analyze historical working capital trends and seasonality.
- Assess normalized working capital requirements and establish target working capital mechanisms.
- Identify working capital risks, liquidity considerations, and deal implications.
- Support purchase price adjustment negotiations through detailed working capital analyses.
Transaction Advisory & Deal Support
- Lead financial due diligence workstreams throughout the M&A lifecycle.
- Evaluate debt, debt-like items, and net working capital considerations.
- Support SPA (Sale and Purchase Agreement) negotiations by providing transaction-related financial insights.
- Review financial statements, management reports, forecasts, and underlying accounting records.
- Identify transaction risks, value creation opportunities, and integration considerations.
Pre-Deal Accounting & Financial Analysis
- Assess accounting policies and financial reporting practices.
- Evaluate accounting-related risks and potential impacts on deal valuation.
- Review balance sheet quality and financial statement presentation.
- Analyze historical financial performance and key operating metrics.
Client & Team Leadership
- Manage multiple concurrent engagements while ensuring quality and timely delivery.
- Serve as a primary day-to-day contact for clients, bankers, private equity firms, and corporate development teams.
- Lead, coach, and develop associates and senior associates.
- Review work products and ensure adherence to firm methodologies and quality standards.
- Contribute to business development initiatives, proposals, and client presentations.
Qualifications
Required
- Bachelor's degree in Accounting, Finance, Economics, or related field.
- CPA, CA, ACCA, CFA, or equivalent professional qualification preferred.
- 6-10 years of relevant experience in Transaction Advisory Services, Financial Due Diligence, M&A Advisory, Audit, or Deal Advisory.
- Hands-on experience leading Quality of Earnings and financial due diligence engagements.
- Strong understanding of financial statement analysis, GAAP/IFRS, and M&A transactions.
- Experience preparing and reviewing EBITDA adjustments and normalized working capital analyses.
- Advanced proficiency in Microsoft Excel, PowerPoint, and financial modeling.

- Exposure to cross-border transactions and carve-out situations.
- Experience managing engagement teams and client relationships.
