Job Description for the position of Manager Compliance & Legal:
Key Responsibilities:
- Lead company secretarial functions ensuring compliance with the Companies Act, SEBI regulations, and other applicable laws.
- Manage board and committee meetings including drafting notices, agendas, minutes, and resolutions.
- Coordinate all filings with the Registrar of Companies (RoC) and other statutory authorities in a timely manner.
- Advise management on corporate governance best practices and regulatory developments.
- Support fundraising efforts including private equity, venture capital, and IPO preparations.
- Lead M&A transactions including due diligence, scheme approvals, NCLT filings, and post-merger compliances under Companies Act, 2013 (Sections 230-234). - Support corporate restructuring, amalgamations, and demergers.
- Liaise with regulators, legal advisors, auditors (internal & external), and various stakeholders on secretarial and governance matters.
- Maintain the statutory registers, share capital records, and handle share transfers and allotments.
- Oversee compliance with insider trading, disclosure, and related equity listing regulations as applicable.
- Assist in due diligence, drafting and reviewing transaction documents (e.g., SHA, SPA).
- Monitor and ensure compliance with environmental, labor, and other corporate laws.
- Implement and update internal policies and procedures related to corporate governance and compliance.
- Drafting, reviewing, vetting and negotiating the contracts entered into by the Company with Customers/Partners/Vendors etc. as well as collaborating with internal stakeholders.
- Managing the Compliance Document Repository.
Qualifications & Experience:
- Qualified Company Secretary (ICSI) with minimum 7+ years of post-qualification experience preferably in a private limited company or pre-IPO environment, and an LLB with experience in working on commercial contracts.
- Strong knowledge of Companies Act, SEBI regulations, and capital markets laws.
- Experience handling investment rounds, corporate restructuring, and IPO readiness preferred.
- Excellent communication, negotiation, and stakeholder management skills.
- Ability to work independently, manage multiple priorities, and meet deadlines.
