About the Role
We are looking for a mature, commercially astute and high-ownership legal professional to work directly with the CEO on commercial, contractual and strategic legal matters.
This is a high-trust role requiring strong legal expertise, businessjudgment, commercial acumen, and executive maturity. The individual will independently manage and negotiate key commercial agreements while helping the CEO and leadership team make informed decisions on legal and commercial risks.
The ideal candidate will be comfortable operating with autonomy and ambiguity, understand the broader business context behind legal issues, and focus on enabling the business while appropriately protecting Zluri.
Key Responsibilities
Legal & Commercial
- Own the end-to-end drafting, review and negotiation of customer, partner, reseller/channel, vendor, technology, SaaS, licensing, NDA, SLA, DPA and other commercial agreements.
- Lead negotiations with enterprise customers, strategic partners and vendors, balancing commercial objectives, relationship considerations and legal risk.
- Assess and advise on key contractual provisions including indemnities, limitation of liability, IP, confidentiality, data protection, information security, warranties, payment, termination and dispute resolution.
- Provide the CEO and leadership team with clear, concise and actionable recommendations on material legal and commercial matters.
- Identify, assess and mitigate legal risks while distinguishing between unacceptable risks and commercially acceptable risks.
- Partner closely with Sales, Finance, Procurement, Information Security, Product and other teams to enable timely business decisions and deal closure.
- Develop and maintain standard contract templates, negotiation playbooks, clause libraries and approval frameworks.
- Manage the contract repository and key contractual obligations, including renewals, amendments and compliance requirements.
- Support Zluri's international commercial contracting and coordinate with external counsel on jurisdiction-specific or specialized legal matters.
- Stay current on legal and regulatory developments relevant to SaaS, technology, data privacy and information security.
- Support the CEO and leadership team on broader corporate, commercial and strategic legal matters as required.
Indian Corporate Law & Secretarial Compliance
- Own and oversee compliance with the Companies Act, 2013 and applicable rules and regulations for Zluri's Indian entities.
- Manage and coordinate corporate secretarial matters, including Board and shareholder meetings, notices, agendas, minutes, resolutions and statutory registers.
- Ensure timely completion of ROC/MCA filings, statutory returns and other corporate compliance requirements, including maintenance of appropriate records and documentation.
- Support the Board and management on corporate governance, related-party transactions, share issuances/transfers, ESOPs, director matters and other corporate actions.
- Coordinate with the Company Secretary, auditors and external legal counsel, where applicable, and ensure statutory and governance matters are appropriately tracked and closed.
- Provide practical advice to the CEO and the leadership team on Indian company law, corporate governance, and regulatory requirements affecting business decisions.
What We Are Looking For
- Candidates must hold an LLB (Bachelor of Laws) degree.
- 5–8 years of relevant post-qualification experience, preferably in commercial contracts, technology/SaaS or corporate legal roles.
- Strong experience in commercial contract drafting and negotiation, ideally with enterprise customers and technology businesses.
- Experience with international/cross-border commercial contracts will be an advantage.
- Strong understanding of SaaS, technology, IP, data protection and information-security related contractual matters.
- Excellent written and verbal communication skills with the ability to simplify complex legal issues for business leaders.
- Strong working knowledge of Indian company law, corporate governance and secretarial compliances, with hands-on experience managing ROC/MCA filings and corporate actions.
- Experience working with Boards, Company Secretaries, auditors and external counsel will be an advantage
