Job Description

This is a based in Delhi, India, with the Contracts Manager providing support for data center projects located in various parts of the world.

Key responsibilities include:

  • Assisting in the preparation, review, and finalization of customer and vendor contracts in alignment with legal and commercial standards.
  • Coordinating with the Data Center sales team on pre-contract matters and with operations teams on post-contract administration.
  • Supporting the tracking and execution of contractual deliverables, timelines, and milestones.
  • Liaising with internal departments to ensure contractual obligations are aligned with operational and business requirements.
  • Maintaining contract records and supporting compliance with internal governance and approval processes.

The ideal candidate will have a solid understanding of commercial contracts, preferably in the data center, and experience working in a fast-paced, multi-jurisdictional environment.

Contracts Drafting:

  • Draft, review, and negotiate a wide variety of contracts including colocation agreements, managed services agreements, service level agreements (SLAs), interconnection agreements, and cloud service agreements.
  • Ensure that all contracts are comprehensive, contractually sound, and aligned with business goals.
  • Assist with Developing standard contract template for recurring agreements and customize them as needed for specific clients.
  • Draft, review, and finalize contracts with clear, comprehensive terms that adhere to our approved legal templates.

Negotiation and Finalization:

  • Lead contract negotiations for leasing space and services with both potential and existing Data Center clients.
  • Lead contract negotiations with clients, vendors, and partners, ensuring favorable terms for the company.
  • Resolve contractual issues and disputes, working closely with internal stakeholders and external parties.
  • Finalize contracts, ensuring all necessary approvals and signatures are obtained.

Risk Management and Compliance:

  • Proactively identify and propose solutions to mitigate potential legal and business risks within contracts.
  • Identify and mitigate contractual risks, ensuring compliance with applicable laws, regulations, and company policies.
  • Implement best practices for contract management, including risk assessment and mitigation strategies.
  • Oversee adherence to all relevant laws and regulations.
  • Implement and manage a contract management system to track contract status, obligations, and renewals.
  • Ensure accurate documentation of all contractual changes and amendments.

Stakeholder Collaboration:

  • Collaborate closely with Sales, Operations, and Legal teams to ensure contracts align with business goals and compliance.
  • Work closely with legal, finance, sales, operations, and other relevant departments to ensure contract terms meet business needs.
  • Provide guidance and training to internal teams on contract-related matters.
  • Serve as a point of contact for clients on contractual issues, fostering strong client relationships.
  • Serve as the primary point of contact for Data Center clients on all contractual matters.

Performance Monitoring and Customer Relationship:

  • Monitor contract performance and address any compliance issues that may arise.
  • Foster positive customer relationships by promptly and effectively resolving any contractual concerns.
  • Work with the legal team to develop and implement standardized contract templates and procedures to streamline processes.
  • Continuously improve contract management practices to enhance efficiency and mitigate risks.

Qualifications/Specific Experience/Skills:

  • Relevant Degree in Law or Engineering or Construction Management or equivalent;
  • Min. 12-15 years of work experience with at least 5-8 years of experience in contract drafting;
  • Member of relevant professional institutions;
  • Ability to work in International standard forms of Contracts and other bespoke versions;
  • Excellent English language skill (both spoken and written);
  • Must be able to draft amendments to agreements, settlement agreements, etc.
  • Must be able to address and resolve contractual issues/disputes;
  • Very organized, efficient, systematic and team player.
