Position – Legal Manager
Location - Head Office, Fort, Mumbai
Reporting To - Company Secretary & Head – Legal
Qualification
- LL.B. (Bachelor of Laws) – Mandatory
- LL.M. (Master of Laws) – Preferred
- Membership with Bar Council will be an added advantage
Experience
- Minimum 5–10 years of relevant experience in Construction, Infrastructure, EPC, Engineering, Contracting, Real Estate, or similar industries.
- Proven experience in contract management, litigation handling, labor law compliance, and legal documentation.
Job Purpose
To provide comprehensive legal support to the organization by handling contractual matters, litigation, legal compliance, labour law issues, and all legal documentation related to business operations, projects, contractors, subcontractors, clients, vendors, and government authorities.
Key Responsibilities
Contract Management
- Draft, review, vet, negotiate, and finalize various agreements and contracts.
- Prepare and review Works Contracts, Service Agreements, Consultancy Agreements, Purchase Agreements, Vendor Agreements, and related legal documents.
- Draft and vet Contractor Agreements and Sub-Contractor Agreements.
- Ensure contractual documents adequately protect the Company's legal and commercial interests.
- Provide legal advice on contractual obligations, risks, claims, disputes, and liabilities.
Litigation and Court Matters
- Handle litigation matters before various Courts, Tribunals, Labor Courts, Arbitration Forums, and Government Authorities.
- Coordinate with advocates, counsels, and legal consultants.
- Attend court proceedings and assist in case management.
- Monitor ongoing legal cases and maintain litigation records.
- Prepare case briefs, evidence documentation, and legal reports for management.
Legal Notices and Correspondence
- Draft and issue legal notices on behalf of the Company.
- Review and prepare replies to legal notices received from clients, contractors, employees, vendors, authorities, and other stakeholders.
- Provide legal opinions on disputes and legal claims.
Write Petitions and Court Documentation
- Draft and assist in filing Writ Petitions, Affidavits, Replies, Rejoinders, Applications, and other court-related documents.
- Coordinate filing procedures and legal documentation before Courts and Government Authorities.
- Maintain legal records, petitions, pleadings, and supporting documentation.
Labour Law and Statutory Compliance
- Ensure compliance with applicable Labor Laws and employment-related regulations.
- Handle legal matters related to:
- Industrial Disputes Act
- Contract Labor Laws
- Shops and Establishments Act
- Minimum Wages Act
- Payment of Wages Act
- Employees Provident Fund (EPF)
- Employees State Insurance (ESI)
- Gratuity Act
- Factories Act (where applicable)
- Building and Other Construction Workers (BOCW) Act
- Provide legal guidance on employee and contractor-related issues.
Legal Compliance and Advisory
- Monitor and ensure compliance with applicable laws, rules, regulations, and statutory requirements.
- Advise management on legal risks and mitigation measures.
- Liaise with government departments, regulatory authorities, and legal consultants.
- Conduct legal research and provide opinions on various legal matters affecting business operations.
Claims, Arbitration and Dispute Resolution
- Handle contractual claims, recovery matters, and dispute resolution.
- Assist in arbitration proceedings and preparation of claims/counterclaims.
- Support project teams in resolving contractual disputes with clients, contractors, and subcontractors.
Documentation and Record Management
- Maintain legal records, agreements, litigation files, notices, licenses, and statutory documents.
- Develop and maintain legal document repositories and compliance trackers.
- Ensure proper documentation for all legal proceedings and contractual obligations.
Required Skills
- Strong knowledge of Contract Law, Labor Laws, Civil Laws, Commercial Laws, and Corporate Laws.
- Excellent drafting, negotiation, and documentation skills.
- Thorough understanding of construction and infrastructure contracts.
- Knowledge of arbitration and dispute resolution mechanisms.
- Strong analytical, communication, and problem-solving skills.
- Ability to interact with senior management, government authorities, advocates, and external stakeholders.
