Job Description

Key Responsibilities:

  1. Drafting, Review and negotiating Contracts and Contract Management

  • Draft, Redline, Review, negotiate and close a wide range of commercial agreements, including NDAs, MoUs, vendor contracts, service agreements, EPC contracts, lease deeds, and joint venture agreements.
  • Provide legal input during tender/bid preparation and contract finalization stages.
  • Interpret complex contract clauses and advise business teams on contractual rights, obligations, and liabilities.
  • Flag contractual risks and provide mitigation strategies.
  • Ensure that all contracts comply with legal requirements and protect the company's interests.

  • Legal Compliance & Risk Management
  • Ensure company-wide compliance with relevant statutory laws (Labour Laws, Companies Act, Contract Act, Environmental Laws, etc.).
  • Maintain legal risk registers and proactively highlight high-risk matters to management.
  • Monitor and update changes in laws and regulations impacting business operations.

  • Litigation Management
  • Coordinate with external legal counsel for civil, criminal, arbitration, and statutory cases.
  • Handle pre-litigation notices, consumer complaints, and other dispute matters.
  • Maintain litigation MIS and track case progress to ensure timely closure.

  • Stakeholder Coordination & Reporting
  • Collaborate with cross-functional teams – Operations, Finance, Procurement, HR, Projects, and BD.
  • Regularly report updates, risks, and key legal issues to the senior management.

  • 5.Legal Advisory:
  • Provide strategic legal advice to the executive team and other departments on a wide range of issues including environmental regulations, corporate governance, contracts, intellectual property, and labor laws.

  • 6.Regulatory Compliance:
  • Monitor and ensure compliance with local, state, and federal environmental laws and regulations. Advise on the implications of new regulations and work with relevant teams to implement necessary changes.

  • 7. Corporate Governance: Assist with corporate governance matters, including the preparation of board materials, corporate filings, and the management of corporate records.

  • 8.Labor and Employment Law: Advise on employment matters, including employee contracts, disputes, compliance with labor laws, and company policies.

  • 9.Mergers & Acquisitions: Support the legal aspects of mergers, acquisitions, joint ventures, and other strategic business initiatives.

  • 10.Policy Development: Develop and implement internal policies and procedures to ensure legal compliance and support the company's objectives.

  • 11.Training and Education: Conduct training sessions for employees on legal issues, regulatory compliance, and corporate policies.
