Job Purpose: As a Legal Manager, you will serve as a key legal partner in a
fast-growing startup environment, structuring, reviewing, and negotiating commercial,
strategic, and collaborative agreements across NxtWave's ecosystem. The role involves
advising on contractual risk, transaction structuring, fundraising support, investor
and governance documentation, technology and data protection matters, and
regulatory compliance within the education and startup landscape. You will work
closely with cross-functional teams, universities, investors, and third-party partners to
build scalable legal frameworks, mitigate risk, and enable sustainable growth while
operating with agility in a dynamic, high-growth ecosystem.
Key Responsibilities
Contract Management:
Lead the drafting, review, and negotiation of agreements including LOIs,
NDAs, MOUs, Term Sheets, Rentals & Lease Agreements, Saas
Agreements, Vendor Agreements, Work Orders and other related
documents.
Ensure legal enforceability, balanced risk allocation, and regulatory
alignment of contractual arrangements.
Advise internal stakeholders on contractual rights, obligations, legal
exposures, and commercial safeguards.
University & Institutional Partnerships:
Provide legal support for structuring, evaluating, and operationalizing
collaborations with universities, MNCs, B2B and other strategic partners.
Review partnership models and commercial frameworks from a legal and
regulatory perspective.
Identify and mitigate legal risks associated with institutional
engagements.
Legal Compliance:
Oversee compliance with applicable laws including sector-specific
requirements.
Monitor regulatory developments and assess their impact on business
and academic operations.
Support the development and implementation of compliance-driven
processes and controls.
Risk Mitigation:
Identify, evaluate, and manage legal and contractual risks.
Recommend risk-mitigation strategies and preventive legal safeguards.
Support dispute-prevention and pre-litigation assessments where
necessary.
Policy Development:
Develop, review, and update internal legal, contractual, and compliance
policies.
Strengthen governance mechanisms and documentation standards
Ensure consistency and legal robustness of institutional practices.
Audits and External Reporting:
Conduct regular audits to identify and address process issues, ensuring
legal and regulatory compliance.
Assist in providing necessary information and documentation for
external audits, ensuring a seamless audit process.
Dispute Resolution & Litigation Management
Manage pre-litigation notices, consumer complaints, grievances,
show-cause notices and internal disputes
Coordinate with external counsel on ongoing litigation, settlements, and
enforcement matters
Maintain records of disputes, litigation status, and follow-ups
Provide guidance on dispute resolution strategies and internal escalation
processes
Intellectual Property (IP) Management
Oversee filing, registration, and protection of trademarks, copyrights,
patents, and domain names
Advise teams on IP usage, infringement avoidance, and licensing
agreements
Maintain IP registers and track renewals and compliance obligations
Develop internal IP playbooks and guidelines for product, marketing, and
content teams
Process Optimization & Knowledge Management
Develop and maintain playbooks, templates, checklists, and automated
processes for legal operations
Conduct periodic reviews of workflows, contracts, and compliance
processes to identify efficiency improvements
Maintain knowledge repositories for legal, compliance, and regulatory
matters
Track key legal metrics, risk exposures, audit outcomes, and compliance
performance for management reporting
Training and Knowledge Management:
Train employees on compliance policies and procedures, fostering a
culture of adherence.
Keep abreast of regulatory changes and provide guidance to the
organization on legal and compliance matters.
Qualifications:
Bachelor's or Master's degree in Law from a reputable university or law college.
5-8 years of relevant legal experience, preferably in a corporate environment.
Being a Qualified CS is an added advantage
Skills:
Proficiency in contract drafting and negotiation.
Strong understanding of applicable laws and regulations.
Excellent written and verbal communication skills.
Ability to work independently, managing multiple tasks concurrently.
Exceptional analytical and problem-solving abilities.
Familiarity with regulatory and compliance considerations, preferably within
education, edtech, or institutional frameworks
