Role Overview

ALYF is building a professionally governed holiday home ownership and management platform across Maharashtra and Goa. As we scale our development and operating portfolio, we are looking for a Legal Head who will own the company's legal function endtoend spanning land acquisitions, development structuring, regulatory compliance, RERA, contracts, dispute management, and legal frameworks for property management operations.

This is a handson leadership role requiring strong commercial judgement, deep real estate law expertise, and the ability to work closely with founders, business, finance, sales, and operations teams.

Key Responsibilities

1. Land Acquisition & Title Due Diligence

Lead endtoend legal due diligence for land acquisitions in Maharashtra & Goa.

Review and opine on title documents including 7/12 extracts, property cards, mutation entries, Form I & XIV, survey plans, tenancy/mundkar records, succession and inheritance documents.

Identify title, access, CRZ, forest, zoning, and litigation risks and propose mitigation structures.

Support deal structuring for outright purchases, JDAs, revenueshare, areashare and copromoter models.

2. Development Agreements & Structuring

Draft, negotiate and finalise Term Sheets, Development Agreements, JDAs, Collaboration Agreements and landowner side letters.

Structure mortgage permissions, indemnities, conditions precedent, exit rights and copromoter liability carveouts.

Work closely with finance teams on escrow waterfalls, payment milestones and cashflow protections.

3. Regulatory Approvals & Compliance

Oversee legal aspects of approvals including NA conversion, Planning Authority approvals (MMRDA / local authority), MPCB, Panchayat permissions, TCP Goa, CRZ clearances (where applicable).

Track statutory timelines and flag legal risks impacting project schedules.

Coordinate with consultants and external counsel for regulatory submissions.

4. RERA (MahaRERA & Goa RERA)

Lead RERA registrations, filings, disclosures and ongoing compliance.

Draft and review Agreements for Sale, allotment letters and statutory annexures.

Advise on permissible withdrawals from the 70% designated account and escrow structuring.

Handle buyer complaints, notices and proceedings before RERA authorities.

5. Property Management Legal & Contractual Oversight

Design and manage legal frameworks for property management operations, including:

o Owner agreements and PMS structures

o Leasing / shortterm rental agreements

o Vendor and facility management contracts

o House rules, usage policies and indemnity structures

Ensure compliance with local laws impacting operations, leasing and guest stays.

Support operations teams in dispute resolution involving owners, tenants, guests and vendors.

6. Contracts, Risk & Dispute Management

Draft and review construction contracts, consultant agreements, marketing agreements and vendor contracts.

Identify and proactively mitigate legal and commercial risks.

Manage litigation strategy with external counsel for land disputes, regulatory issues and RERA matters.

7. Internal Governance & Advisory

Act as a trusted legal advisor to founders and leadership on strategic decisions.

Set up internal SOPs and checklists for acquisitions, sales, marketing and operations.

Review marketing and sales collateral for legal and RERA compliance.

Build and mentor the inhouse legal team over time.

Candidate Profile

5+ years of postqualification experience, preferably with real estate developers, hospitality, proptech or large law firms handling real estate transactions.

Strong handson experience in Maharashtra and Goa real estate laws.

Deep working knowledge of RERA, land laws, development structuring and approvals.

Exposure to property management, leasing or hospitality operations is a strong plus.

Commercial mindset with the ability to balance speed and risk.

Comfortable working in fastgrowing, founderled environments.
