Position : Legal Executive

Department : Legal & Compliance

Reporting To : Lead Legal

Location : Gurugram, Haryana

Experience :2–4 years (post-qualification)

Role Overview

The role will support the Lead Legal across contract drafting and review, employment and HR compliance, commercial negotiations, and day-to-day corporate governance matters across Varaha's group entities. This is a hands-on, execution-focused role suited to a lawyer who wants exposure to a fast-growing climate-tech business operating across agriculture, technology, and carbon markets law.

Key Responsibilities

  • Draft, review, and redline a wide range of commercial agreements, including NDAs, service agreements, vendor and procurement contracts, equipment sale/purchase agreements, and collaboration agreements.
  • Support carbon project documentation, including review of Carbon Rights Agreements, and related project-level instruments.
  • Assist with employment and HR compliance, including offer/appointment letters, HR policies, POSH Act compliance, leave and settlement matters, and state-specific labour law requirements (e.g., Shops & Establishments Act, OSH Code).
  • Support commercial negotiations with partners, financiers, and carbon market counterparties, including tracking issue lists, redlines, and negotiation positions.
  • Assist with corporate governance matters across group entities, including board resolutions, basic company law compliance, and coordination with company secretarial functions.
  • Maintain contract templates, playbooks, and precedent banks; help standardise Varaha's negotiating positions across recurring clause types (e.g., data protection, arbitration, liability).
  • Track key contractual dates, renewals, and compliance deadlines, and maintain organised legal records/trackers.
  • Coordinate with external counsel where required and assist in preparing briefing notes and issue summaries.
  • Support responses to legal notices, disputes, or enforcement matters under the guidance of the Legal Lead.

Requirements

  • LL.B. (or equivalent law degree) from a recognized university; enrolment with a State Bar Council preferred.
  • 2–4 years of relevant post-qualification experience, ideally including in-house or law firm experience in commercial contracts and carbon market.
  • Strong contract drafting, review, and negotiation skills, with sound understanding of the Indian Contract Act, Companies Act, 2013, and general commercial law principles.
  • Working knowledge of Indian employment and labour law (e.g., Industrial Disputes Act, Shops & Establishments Acts, POSH Act) is preferred.
  • Strong written and verbal communication skills, with the ability to explain legal positions clearly to non-legal stakeholders.
  • High attention to detail, ownership, and ability to manage multiple matters independently in a fast-paced environment.

Good to Have

  • Prior exposure to agriculture-sector contracts, farmer agreements, or rural/agri-business operations.
  • Familiarity with carbon markets, voluntary carbon credit standards (Verra/VCS, Isometric, Gold Standard), FPIC processes, or Carbon Rights Agreements.
  • Understanding of India's Digital Personal Data Protection Act, 2023 (DPDP Act) and its application to commercial contracts.
  • Experience working with cross-border counterparties or in a startup/climate-tech environment.
