Our client is currently seeking a Legal Counsel to provide strategic, commercially focused legal support across a growing regional real estate and infrastructure business. This role sits at the center of development and investment activities, partnering closely with business, engineering, and project teams to enable growth while managing legal and regulatory risk.
You will be involved across real estate development, corporate transactions, financing, commercial contracting, and compliance in a fast-paced, cross-border environment.
RESPONSIBILITIES
Corporate & Commercial
- Provide practical legal advice to business units and leadership across a wide range of commercial and regulatory matters
- Draft, review, and negotiate key agreements including EPC/construction contracts, supplier agreements, service agreements, leasing and tenancy agreements, NDAs, and vendor arrangements
- Manage contract lifecycle processes and ensure alignment with business and risk objectives
- Advise on contractual interpretation, dispute avoidance, and risk mitigation strategies
Real Estate Development & Assets
- Support the full lifecycle of real estate development projects, including land acquisition, permitting, construction, commissioning, and operations
- Lead legal support for real estate transactions, including due diligence, title review, zoning, leasing, and acquisitions
- Partner with development, engineering, and procurement teams to identify and manage project risks
Corporate Finance, M&A & Investments
- Support financing transactions, debt facilities, capital raising, and equity-related matters
- Assist with M&A, joint ventures, and strategic investments, including structuring, due diligence, and documentation
- Coordinate with external counsel and support post-transaction integration and governance activities
Compliance & Governance
- Support corporate governance frameworks, policies, and internal controls
- Assist with compliance programmes including data protection, cybersecurity, anti-bribery & corruption, sanctions, and ESG requirements
- Monitor regulatory developments and advise on business impact
Stakeholder & External Counsel Management
- Manage external legal advisors to ensure efficient and high-quality delivery of services
- Coordinate cross-border legal matters across multiple jurisdictions
- Deliver legal training and guidance to internal stakeholders where required
REQUIREMENTS
- Qualified lawyer (LLB or equivalent) admitted in a recognized jurisdiction
- 4–8 years PQE from a reputable law firm and/or in-house legal function
- Strong experience in commercial contracts, corporate transactions, real estate, infrastructure, or capital projects (ideally across Asia Pacific)
- Exposure to financing, M&A, and/or large-scale real estate or infrastructure development is highly desirable
- Strong drafting, negotiation, and advisory skills
- Excellent stakeholder management and ability to operate in a fast-paced, commercial environment
