Overview
As a Legal Counsel, you will be responsible for protecting and advancing organizations legal and compliance interests. This role requires strong legal acumen, business insight, and mitigate risks and ensure regulatory compliance, and support strategic business decisions. You will work closely with senior management, business stakeholders, and external legal partners to ensure organization operates within the legal frameworks of India and international jurisdictions.
Key Responsibilities
Legal Advisory & Compliance
Act as a trusted legal partner, supporting business teams from contract initiation to closure, identifying potential legal risks and solutions.
Advise internal teams on legal risks, rights, and obligations related to product development, data protection, cybersecurity and confidentiality and Data privacy.
Collaborate with product and engineering teams to ensure legal compliance in new product launches.
Provide strategic legal counsel to senior management on critical legal, compliance, and regulatory matters.
Contracts & Commercial Agreements
Draft, review, negotiate and execute Software Product License Agreements, SaaS Agreements, Master professional service agreements (MPSA) and Non-Disclosure Agreements (NDA) for its clients.
Collaborate with the Finance, Operations, and HR teams
Prepare, review, and negotiate agreements with technology vendors, consultants, third-party service providers, infrastructure partners including local and global SI partnerships.
Qualification & Experience
Bachelor's/master's degree in law from a reputed institution
Five to Eight years of experience gained from leading law firms and/or in-house roles within SaaS or product-based technology companies.
Good knowledge of corporate and allied laws with specialization on Companies Act and Rules, Processes and Guidelines thereunder
Key Skills & Competencies
Ability to work independently and manage multiple priorities under deadlines.
Well versed with the Enterprise Software Product License, Support & professional services obligations in variety of scope and nature of engagements.
Demonstrated experience in drafting, negotiating, and managing technology contracts (SaaS, support, licensing) and organizational legal documentation.
Working knowledge of IP law, data protection laws (including GDPR), and Indian labour/ employment law.
Strong legal drafting and negotiation skills with excellent attention to detail with ability to manage multiple contract types
Excellent stakeholder communication and coordination and the ability to balance legal risk with commercial priorities with high integrity and confidentiality in handling sensitive matters
