Legal Counsel

Role Overvie

wWe are looking for a proactive and detail-oriented Legal Counsel to join our team. This role is critical to ensuring that our global operations remain legally compliant, commercially protected, and administratively sound. The ideal candidate will combine deep expertise in international business law with the governance responsibilities of a Company Secretary, while also spearheading our global debt recovery and legal notice functions.

Key Responsibilities

1. Global Debt Recovery & Legal Notices

  • Draft, review, and dispatch legal notices, demand letters, and payment recovery communications to clients and workspace partners globally who have defaulted on payment obligations.
  • Manage and track all outstanding payment disputes, escalation timelines, and follow-up actions across jurisdictions (US, UK, India, Singapore, Australia, Netherlands, Canada).
  • Coordinate with external legal counsel and collection agencies in respective countries when required.
  • Maintain a centralised tracker of all legal notices issued, responses received, and actions taken
  • Advise on the enforceability of payment clauses in agreements across different legal systems.

2. Company Secretarial Functions

  • Maintain and update statutory registers, minute books, and company records in accordance with applicable laws.
  • Prepare and circulate notices, agendas, and minutes for Board meetings, AGMs, and EGMs.
  • Coordinate with Directors and Senior Management to ensure proper governance practices.
  • Manage the maintenance of the company's statutory books, and director/shareholder records.

3. International Compliance & Legal Advisory

  • Monitor and ensure compliance with applicable corporate, employment, data privacy, and commercial laws across all operating regions.
  • Advise the leadership team on regulatory changes and their business impact in target markets — US, UK, India, Singapore, Australia, Netherlands, and Canada.
  • Support the negotiation, drafting, and review of international contracts, vendor agreements, NDAs, SLAs, and licensing agreements.
  • Ensure GDPR compliance (UK/EU), PDPA (Singapore), Privacy Act (Australia), PIPEDA (Canada), and IT Act/DPDPA (India) compliance across data handling practices.
  • Maintain compliance calendars and ensure no statutory deadlines are missed across jurisdictions.

4. Contract Management

  • Own the end-to-end contract lifecycle — from drafting to execution and renewal.
  • Create and maintain a library of standardised contract templates for different geographies and use cases.
  • Identify legal risks in commercial agreements and recommend appropriate risk mitigation strategies.
  • Liaise with internal teams (Sales, Finance, Operations) to ensure legal alignment in commercial decisions.

5. Dispute Resolution & Litigation Support

  • Manage pre-litigation processes including legal notices, negotiations, and settlement discussions.
  • Coordinate with external law firms and barristers for matters that escalate to arbitration or court proceedings.
  • Maintain documentation for all dispute-related matters and provide regular status updates to management.

Required Qualifications &

  • SkillsBachelor's degree in Law (LLB) from a recognised institution — mandatory.
  • LLM in Corporate Law, International Law, or Business Law — preferred.
  • Company Secretary qualification (ICSI) — preferred or pursuing.
  • 3 to 5 years of experience in corporate legal roles, preferably with exposure to multi-jurisdictional operations.
  • Demonstrated experience in drafting and issuing legal/demand notices and managing payment recovery processes.
  • Prior experience in a fast-growing startup or global SaaS / tech / workspace company is an added advantage.
  • Sound understanding of corporate laws and company secretarial practices in India (Companies Act,2013).
  • Working knowledge of legal frameworks in the US (UCC, Delaware corporate law), UK (Companies Act 2006), Singapore (Companies Act), Australia (Corporations Act), Netherlands (BV/NV), and Canada (CBCA).
  • Familiarity with international commercial arbitration rules (ICC, SIAC,LCIA).
  • Knowledge of international data protection regulations — GDPR, PDPA,DPDPA.
  • Proficiency in contract drafting, negotiation, and legal risk assessment.
  • Excellent written and oral communication skills in English — a must, given the nature of notice drafting.
  • Strong attention to detail and the ability to manage multiple deadlines simultaneously.
  • High degree of professional ethics, discretion, and confidentiality.
  • Proactive approach with the ability to work independently with minimal supervision.
  • Collaborative mindset to work cross-functionally with finance, operations, and leadership teams.
