About the Role

  • We are seeking a capable, commercially minded and self-motivated Legal Counsel to join our growing legal team.
  • This position carries significant responsibility for delivering legal support across a broad spectrum of commercial matters. Serving as the primary point of contact for enquiries regarding commercial contracts from both internal stakeholders and clients in the UK, EU, and North America, it plays an integral role in the review and administration of commercial agreements.

What you will do:

Commercial Contracts

  • Advise on a range of commercial agreements (e.g. NDAs, MSAs, SOW/Order forms, T&Cs, DPAs, change orders, amendments and licenses with JMAN clients, suppliers and strategic partners across the UK, Europe, North America and India using approved templates and playbooks where applicable, escalating deviations and legal issues to the Senior Legal Counsel and Head of Privacy or General Counsel as required.
  • Draft, review, negotiate and finalise commercial contracts, with minimal supervision, identifying legal, commercial, and risk issues and proposing pragmatic solutions which are aligned with business objectives.
  • Partner with crossfunctional teams to effectively mitigate commercial contract risks and ensure ongoing compliance with contractual requirements.
  • Support with the development and maintenance of legal templates, legal clause and legal prompt libraries, and internal playbooks - capturing learnings from negotiations and legal / sector developments - under the direction of the General Counsel.
  • Oversee the contracts management function, ensuring contract intake requests and queries are triaged efficiently and JMANs contract lifecycle management (CLM) process and systems are embedded, maintained and audit ready.

Legal Counselling

  • Provide strategic legal advice in connection with local office initiatives such as office moves, or new partnerships as required.
  • Provide legal support to the India HR team, under the direction of the General Counsel, as required.
  • Support with privacy compliance as required including updating RoPAs, completing DPIAs, TRAs and LIAs and responding to data subject requests under the direction of the Senior Legal Counsel and Head of Privacy.
  • Identify emerging legal, regulatory, and operational risks, particularly across data protection, AI regulation and commercial law.
  • Support legal, regulatory and compliance programmes, including policy refreshes, training, internal investigations, audits, and implementation of new controls.

Governance, Compliance & Operations

  • Act as the primary point of contact for front office sales and delivery teams on clientfacing contractual matters.
  • Act as the primary point of contact for members of the Chennai office on questions relating to the JMAN Code of Conduct
  • Coordinate with local external counsel where required and support the management of local legal workstreams
  • Provide guidance, coaching, and oversight to the Contract Manager and other colleagues that engage heavily with contracts.
  • Champion a culture of strong governance, high-quality documentation, ethical conduct, and forwardlooking risk management.

About You

Your Educational Qualifications

  • Law degree in India (B.A. LLB) or Paralegal qualification, the United Kingdom, the United States, or another Commonwealth jurisdiction.

Your Experience

  • 3+ Years to 5+ Years of post-qualification experience, ideally a mix of international in-house and reputable law firm experience
  • Experience supporting the review and administration of commercial contracts for professional services or technology focused business
  • Strong grounding in contract principles and practical experience applying them in a business environment
  • Proven ability to draft, review and negotiate a broad range of commercial agreements including MSAs, SOWs, Order Forms, T&Cs, NDAs, DPAs, SaaS and PaS licenses.
  • Experience handling contract administration (intake, approvals, signature, contract lifecycle management (CLM) hygiene) alongside substantive contract support
  • Exposure to data protection preferred
  • Familiarity with AIenabled legal tools and an interest in process optimization is preferred.
