Job Description

The Legal Counsel supports the Head of Legal Division and the Legal Division in providing practical and commercially oriented legal support to FUJIFILM Group companies in Singapore, with selected support for Asia Pacific matters. The role conducts first-level review and drafting of standard commercial contracts, performs legal research, prepares documentation and assists with disputes, corporate secretarial matters, data protection, compliance implementation and legal training. Material, complex or higher-risk matters are escalated to the Head of Legal Division or designated legal counsel. The role also supports contract-management processes, legal technology solutions and the maintenance of legal templates, guidance materials and knowledge resources.
KEY TASKS:
1. Business Legal Advisory & Dispute Support

  • Support legal matters for FUJIFILM Group companies in Singapore through practical and commercially oriented legal advice.
  • Research assigned legal issues, prepare recommendations and escalate material or higher-risk matters.
  • Support disputes and claims through legal research, information gathering and documentation preparation.
  • Develop legal training materials and deliver legal awareness training.
  • Assist the Head of Legal Division and the Legal Division with selected legal activities involving FUJIFILM Group companies in Singapore and the Asia Pacific region.

2. Contract Governance & Transaction Support

  • Review and draft standard commercial contracts and support contract negotiations.
  • Identify and escalate material, non-standard or higher-risk contractual matters to the Head of Legal Division or designated legal counsel.
  • Maintain contract templates, standard clauses and legal guidelines in collaboration with Asia Pacific legal teams.
  • Support contract-management processes and contract-review improvements across Asia Pacific affiliates.

3. Corporate Secretarial & Entity Governance

  • Support corporate secretarial matters, statutory filings and governance documentation for Singapore entities.
  • Maintain corporate records and supporting statutory documentation, and assist with statutory filings for the assigned Singapore entities.
  • Support regional corporate secretarial governance and procedural guidance across Asia Pacific entities.

4. Data Protection & Privacy Governance

  • Support data protection processes in collaboration with Data Protection Officers and business stakeholders.
  • Review data protection matters relating to the collection, use and disclosure of personal data.
  • Review personal-data practices and support corrective actions where required.
  • Support activities that promote responsible data-handling behaviour and strengthen the organisation's privacy and data protection culture.
  • Support responses to data protection enquiries, assessments, investigations and regulatory requests under the guidance of the Head of Legal Division.

5. Compliance Advisory & Programme Support

  • Support the implementation and maintenance of compliance policies covering ethics, anti-corruption, competition law, healthcare compliance and information security.
  • Assist in maintaining a centralised compliance structure between the Company and its Asia Pacific affiliates to support consistent policy implementation.
  • Support Asia Pacific subsidiaries in the implementation of compliance policies, procedures and training programmes.
  • Assist with assigned compliance matters and related corporate formalities under the supervision of the Head of Legal Division and, where applicable, Group Compliance in Japan.
  • Monitor assigned compliance activities and escalate identified compliance concerns.
  • Develop compliance training materials and conduct compliance-awareness programmes.

6. Legal Operations, Technology & Knowledge Management

  • Support the implementation and continuous improvement of legal technology solutions.
  • Evaluate and support the adoption of emerging technologies for legal operations and knowledge management.
  • Maintain legal precedents, templates, guidance notes and other knowledge resources.


Job Requirements:

  1. Bachelor of Laws (LLB) or Juris Doctor (JD), with admission to practise law in Singapore or another relevant common-law jurisdiction.
  2. Relevant post-qualification experience in corporate and commercial legal work gained in private practice and/or an in-house legal function.
  3. Experience or working knowledge in reviewing and drafting standard commercial contracts and conducting legal research.
  4. Working knowledge of Singapore company law, including requirements relating to board and shareholders resolutions, corporate records and statutory filings.
  5. Working knowledge of compliance and data protection requirements exposure to multi-jurisdictional or Asia Pacific matters is an advantage.
  6. Ability to manage assigned work reliably, recognise matters requiring escalation and work effectively with business stakeholders and other members of the Legal Division.
  7. Strong legal research, drafting, organisational and communication skills.
  8. Must be willing to travel to Tuas office to support business once a month.
