Role Summary:

You will be a corporate counsel supporting epay's rapidly evolving business in India and North America, with a primary focus on commercial contract negotiation and finalization. In India, you will additionally advise and support RBIregulated businesses (both contracting and regulatory advisory). The ideal candidate brings internationalstandard drafting, clear risk framing, and the ability to translate global contracting principles into enforceable outcomes in their jurisdiction of expertise. Key Responsibilities:

Commercial contracting: Draft, review, and negotiate highvalue agreements (distribution, partner, marketplace, brand, issuance, licensing, etc.). Demonstrate topnotch drafting and a thorough grasp of global contracting principles, mapped to Indian contract law and a general understanding of US enforcement contexts.

Regulatory advisory & contracting for India's regulated payments: Advise on RBIregulated businesses and related frameworks; ensure contracts, commercial terms, and obligations align with RBI, NPCI, data protection authorities, applicable SROs, and enforcement interfaces (including police/cyber cells).

Payments/fintech subjectmatter coverage: Support agreements and advice across UPI, cards, wallets, BBPS, merchant acquiring, crossborder flows, and emerging areas such as stablecoins/DeFi, coordinating with stakeholders to balance compliance, commercial outcomes, and customer experience.

Process design and efficiency: Establish lightweight, scalable workflows and playbooks (templates, clause libraries, approval matrices, negotiation checklists), reduce cycle times, and improve deal velocity without compromising risk posture.

Stakeholder management & execution discipline: Partner with business leaders, Product, Compliance, and Finance to align terms with operational realities and manage external counsel efficiently when needed.

What You'll Bring:

Experience: 35 years work experience preferably as counsel for a payments/fintech entity or the TMT practice of a law firm (or a mix).

Jurisdiction: Indiaqualified; a US degree is a plus (not mandatory).

Skills: Internationalstandard drafting, negotiation, stakeholder management, risk framing, and crisp written/spoken communication suited to global counterparties.

Mindset: Practical, outcomeoriented, comfortable with fast iteration and ambiguity; able to simplify complexity for nonlawyers. NicetoHaves: Handson experience in regulated payments businesses.

Dual certification (India & US) or meaningful exposure to US contracting/enforcement.

Familiarity with card processing, merchant acquiring, and datacenter/service agreements.
