Job Description

Key Responsibilities

Contract Drafting & Review

  • Draft, review, and negotiate:
    • Engagement Letters
    • Memorandums of Understanding (MoUs)
    • Master Service Agreements (MSAs)
    • Statements of Work (SOWs)
    • Service Level Agreements (SLAs)
    • Addendums and Amendments
    • Lease Deed, LOI, Leave and License Agreement.
  • Ensure legal enforceability and alignment with business objectives.
  • Vendor / Non - IT Agreements.


Negotiation & Risk Management

  • Lead contract negotiations with clients, vendors, and partners.
  • Identify legal and commercial risks and propose mitigation strategies.
  • Support business teams with contract structuring and advisory.

Contract Lifecycle Management
Maintain contract templates and standard clauses.
Track contract renewals, amendments, and compliance obligations.
Coordinate with external counsel when required.
Preferred tools experience: Contract Lifecycle Management tools such as DocuSign CLM, Ironclad, Icertis, Agiloft, or similar platforms. Familiarity with Microsoft Excel / SharePoint for contract tracking is an added advantage.

Requirements

Qualifications & Experience

  • LL.B./LL.M. from a recognized university.
  • 34 years of experience in commercial contract drafting and negotiations.
  • Strong exposure to corporate/commercial/Real Estate law and contractual frameworks.
  • Experience working in a corporate environment or consulting platform is preferred.
