About the Role

EdgeVerve is seeking a commercially oriented Legal Counsel to support its global banking, artificial intelligence and enterprise software product portfolio. The role involves advising on technology transactions, product licensing, SaaS and cloud offerings, AI-enabled solutions, strategic partnerships and cross-border commercial arrangements.

The Legal Counsel will work closely with sales, product, engineering, delivery, finance, procurement, information security and data privacy teams to enable business opportunities while appropriately managing legal, commercial and regulatory risks.

Key Responsibilities

  • Draft, review and negotiate domestic and international commercial agreements, including software licence agreements, SaaS and cloud agreements, master services agreements, statements of work, support and maintenance agreements, vendor agreements, strategic alliance and partner agreements, data processing agreements, non-disclosure agreements and proof-of-concept arrangements.
  • Independently manage contract negotiations with customers, partners and vendors across multiple jurisdictions, based on the candidate's experience level.
  • Advise on intellectual property, software licensing, data usage, confidentiality, warranties, indemnities, limitation of liability, service levels, audit rights, cybersecurity, data privacy, regulatory compliance and termination rights.
  • Support the licensing, commercialization and deployment of banking products, enterprise software, digital platforms and AI-enabled solutions.
  • Assist with RFI and RFP responses, tenders, product launches, strategic opportunities and internal deal-risk reviews.
  • Support commercial disputes, legal notices, settlement discussions and coordination with external counsel.
  • Support contract governance, approval processes, contract lifecycle management tools and continuous improvement of legal workflows.
  • Conduct knowledge-sharing sessions and, where appropriate, mentor junior team members and new joiners.

Qualifications and Experience

  • Law degree from a recognized university or law school.
  • Qualified to practice law in India.
  • Experience in a software product, SaaS, cloud, fintech, banking technology, AI or IT services organization is mandatory.

  • Ability to understand technology products and translate legal risks into practical business solutions.
  • Strong analytical, research, communication and stakeholder-management skills.
  • Commercial acumen and the ability to balance business objectives with legal, regulatory and reputational risks.
  • Ability to independently manage multiple transactions and priorities in a fast-paced, global environment.
  • Confidence in customer-facing negotiations and engagement with senior stakeholders.
